de um lado, a sociedade e, de outro, os
membros dos seus órgãos de administração
e fiscalização, titulares de participações
qualificadas ou sociedades que se encontrem
em relação de domínio ou de grupo, desde que
sejam significativos em termos económicos
para qualquer das partes envolvidas,
excepto no que respeita aos negócios ou
operações que, cumulativamente, sejam
realizados em condições normais de mercado
para operações similares e façam parte da
actividade corrente da sociedade.
Não foram realizados quaisquer negócios ou operações significativos em termos económicos entre, a Sociedade e os
membros dos seus órgãos de administração e fiscalização,
titulares de participações qualificadas ou sociedades que se
encontrem em relação de domínio ou de grupo.
3.12 Referência à existência de um Gabinete de Apoio
ao Investidor ou a outro serviço similar.
Com o objectivo de se assegurar a existência de um contacto
permanente com o mercado, respeitando sempre o princípio
da igualdade dos accionistas e prevenindo as assimetrias
no acesso à informação por parte dos investidores, a OREY
decidiu criar, por um lado, a figura do Investor Relations e,
por outro, um Gabinete de Apoio ao Investidor.
A função de Investor Relations é actualmente exercida por um
membro do Conselho de Administração, o Dr. Joaquim Paulo

Embora mantendo esta responsabilidade ao nível do Conselho de Administração, a Sociedade tem um Gabinete de
Apoio ao Investidor, nos termos das recomendações da
CMVM sobre governo das sociedades cotadas.

O gabinete tem como principal função assegurar a prestação
ao mercado de toda a informação relevante, divulgação da
informação financeira intercalar e notícias relacionadas com
o Grupo e, paralelamente, responder a questões ou pedidos
de esclarecimento, de investidores ou público em geral, sobre
informação financeira e informação de carácter público relacionada com o desenvolvimento das actividades do Grupo.

3.12 Reference to the existence of an Investor
Support Office or similar service.
With a view to ensuring permanent contact with the market,
with due regard at all times for the principle of equityholder
equality and of preventing asymmetries in access to
information by investors, OREY decided to create, on the
one hand, the post of Investor Relations and, on the other,
an Investor Support Office.

The principal work of this office is to provide the market with
all relevant information, the disclosure of interim financial
information and news related with the Company and, in
parallel, to answer questions or requests for explanations
made by investors or by the general public concerning
financial information and information of a public nature
related with the Group’s business.
