Welcome to the Law, Patents and
Compliance Academy!
The LP&C Academy is a program created by Bayer LP&C colleagues for Bayer LP&C
colleagues with the aim to enhance and grow the talent of each member in Bayer’s LP&C
Law, Patents & Compliance
Community.
The performance of the LP&C function essentially depends on the quality and continued
qualification of its staff members and leaders. Being a brilliant legal, patent or compliance
attorney alone, does not suffice for being a good Bayer in-house counsel. We are partners

to the businesses we counsel. We lead the people we trust to solve the legal challenges
in our functions every day. These tasks require skills and capabilities that go well beyond
analysis of law, drafting contracts and patent applications, providing compliance advice

and investigating compliance issues.
Therefore, it is not enough to recruit excellent people, as we do, for the roles and

responsibilities of the community. The aim of the LP&C Academy is to ensure continuous
improvement by developing people into excellent advisors, business partners, leaders and
personalities. This does not only involve profound legal education but also multidisciplinary
competencies. By this way, we not only aim to enable our employee to grow both
professionally and personally but also to offer the best career opportunities.
However, people development - like feedback - is not a “one-way street”. None of us
should wait until we are approached by our management with Development Plans. It should
become everyone’s routine to approach his or hers direct management and discuss your
expectations with them. We each need to evaluate ourselves, communicate our needs
with our management, and create, discuss and then mutually follow the agreed upon
Development Plan. The LP&C Academy catalog will then help you to find the right training
for the development goal you have discussed with your manager.
Based on the LP&C Competency Profiles, the LP&C Academy offers training courses that
cover a base curriculum for every role. The base curriculum encompasses training for

at each level - Entry, Advanced and Senior – and corresponds to the competencies
described. You will find Competency Profiles for legal, patent and compliance counsel, as
well as paralegals and assistants.
All training courses will be offered virtually (e.g. Lync), or face to face in four different
regional hubs in EMEA (Germany), NA/CAN (Pittsburgh), LATAM (Sao Paulo) and APAC
(Hong Kong and Shanghai). When practical, these courses will be taught by Bayer LP&C
colleagues (including but not limited to members of the Global Practice Groups) in an effort
to provide Bayer-specific and cost-efficient training. Other offerings will be provided by
external partners, including law schools, law firms, and education institutions.
We hope that the LP&C Academy offers you a useful tool for your professional and personal
development which helps you to grow and accomplish your career aspirations!

Introduction of Competency Profiles
As part of the LP&C People Development Project, a group of LP&C colleagues from multiple subgroups and
geographies have compiled and the Global LP&C Management Team has approved a set of competencies which
describe the skills that are relevant for each job role at different levels within the LP&C Community.
These so called LP&C Competency Profiles have been defined for legal, patent and compliance counsel as well
as administrative assistants and paralegals. They take into consideration the level of development at entry level,
advanced level and senior level. Competency Profiles have also been defined for Senior Expert and Head of LP&C
roles.
LP&C People Competency Profiles: Organizing Principles
The LP&C People Competency Profiles for counsel roles cover Professional Skills, Bayer/Business Know-How, Soft
Skills, Leadership and (as the role may require) Management Skills:

The LP&C People Competency Profiles for paralegal and assistant roles cover Professional Skills, IT Skills, Bayer/
Business Know-How, and Soft Skills.
It is important to note that

t. he LP&C Competency Profiles are meant to represent the maximum of possible skills possessed by a
colleague, and it is highly likely that an individual colleague will not possess all of the listed skills. Accordingly,
the Competency Profiles should be adapted to the individual role at hand and should not be viewed as
absolute prerequisites or requirements for advancement. They should provide orientation for defining
development needs, assessment of current skills, readiness for potential advancement and identification of
skill gaps and platform for training opportunities
•
t. he LP&C Competency Profiles and their different levels do not correspond to the contract levels Bayer HR
uses to qualify job roles according to the Hay method. The Hay grading of every specific LP&C role considers
aspects beyond the more generic LP&C Competency Profiles, such as organizational positioning, budget to be
controlled, reporting lines of the position holder and people, if any, reporting to her or him.
•
T. he LP&C Competency Profiles are distinct from the other Leadership Competencies which are currently being
introduced as general leadership development tool across the Bayer organization.
Please review the Competency Profile applicable to your role carefully before engaging in a Development dialogue
with your manager. This will help you to determine development needs and then identify and agree upon the
appropriate development measure in the LP&C Academy Catalogue

1. Professional Competencies
• .Basic/working knowledge of the substantive law applicable to the functional area in the relevant jurisdiction,
including applicable regulatory structures and authorities.
• .Solid contract drafting and negotiation skills, including use of standard agreement templates and
understanding of corporate drafting preferences.

competencies described in the Entry-Level Counsel Competency Profile.
ADVANCED LEVEL
1. Professional Competencies
• .In-depth knowledge of the substantive law applicable to the functional area in the relevant jurisdiction,
including ability to effectively interact with regulatory authorities.
• .Ability to conduct and/or lead complex contract negotiations.
• .Advanced knowledge of at least one other area of law relevant to the business supported, including antitrust/
competition law, real estate law, or the like.
• .In-depth knowledge of intellectual property issues and their relationship to business matters.
• .Ability to proactively advise supported business and management on legal implications of business strategy.
• .Ability to properly select and actively manage outside counsel, as well as other outside vendors and/or

ADVANCED LEVEL
1. Professional Competencies
•
.In-depth knowledge of the patent law applicable in the relevant jurisdictions such as Europe, US and/or specific growth markets and their
business impact and in-depth knowledge of the technological contents that are to be IP protected.
•
.Advanced knowledge of at least one patent law relevant to the business supported, with the respective qualification such as European Patent
Attorney, German Patent Attorney, US Patent Agent, Chinese Patent Agent, etc.
•
.Ability to represent the company in examination and opposition hearing proceedings at the respective patent office (DPMA, EPO, USPTO,
CIPO), optionally in cooperation with internal/external experts depending on business impact.
•
.Ability to advise supported business and management on 1) own IP developments including development of project/product-related patent
strategy and 2) freedom-to-operate issues including the provision and discussion of legal opinions on validity and enforceability of own and
third party IP rights.
•
.Ability to provide due diligence with regard to the licensing of IP in the respective business unit.
•
.Ability to conduct and/or substantially support complex IP related Licensing, Joint-Development or technical Cooperation contract negotiations
•
.Ability to provide primary support with regard to IP and technologically focused contracts to complex corporate projects, including merger,

The Learn to Lead I training course is designed to prepare leaders at all Bayer subgroups and
service companies for the challenges of their first leadership role.
With special reference to the Bayer LIFE values, this seminar offers learning and development
opportunities aligned with understanding and embracing the leadership role, ist tasks and
responsibilities and the application of key leadership tools. Furthermore, the seminar deals
with effective self-management, developing an individual leadership landscape, influencing
skills, how to balance task orientation and people orientation,as well as leadership culture in
the scope of LIFE and diversity and inclusion.
In order to gain an insight into the topics that will be dealt with, you will be expected to read
selected materials before the seminar. During the seminar you will go into these topics in
greater depth and actively apply what you have learned in various exercises: You will practice
the key tools of employee leadership such as agreeing objectives, motivating employees,
delegating tasks and giving candid feedback. In addition, you will have the opportunity to
put forward your own case studies and work through them in peer counseling and role play
sessions. At the end of the seminar, you will draw up objectives and an action plan to support
your personal development as a leader. A telephone coaching session after the seminar will
help you ensure optimal implementation of these development objectives. This session takes
place 6-8 weeks after the seminar and is a key element in the transfer phase.

The Learn to Lead II training course is the second part of the Bayer Academy leadership
curriculum and is designed to help leaders at all Bayer subgroups and service companies to
extend their leadership competences, after they have gained initial experience in leading
employees.
Building on the Bayer LIFE values and the leadership concepts introduced in Learn to Lead I,
you will deepen your theoretical and practical competences in leadership communication,
handling complexity, dealing with conflicts, collaboration, leading through change and
building high-performing teams with a view towards diversity and inclusion.
Like Learn to Lead I this seminar starts with a pre-work period during which you
independently gain your first insights into the upcoming topics. These are elaborated on
in the highly interactive and experience-oriented seminar using your own cases studies,
reflection methods, peer counseling and a leadership simulation. In addition, you will be
introduced to one-on-one coaching as an effective tool for personal development. At the
end of the seminar, you will draw up personal targets and an action plan for your ongoing
development with reference to LIFE. A telephone coaching session after the seminar will help
you ensure optimal implementation of the development objectives set during the seminar.
This session takes place 6-8 weeks after the seminar.

BIMS®online is a business-management training course in the form of an internetbased business simulation applied throughout the Group. In BIMS®online, you assume
management responsibility for a virtual midsize company as part of a team of four to six
people and compete on simulated markets with your competitors. Supported by interactive
teaching programs and comprehensive documentation, you will be introduced to business
administration and economic content. You will also learn how to put these lessons into
practice in the simulation model. You will be working with realistic data for a mid-sized
company that are updated regularly. You can clear up any questions or problems during the

challenging. “Learn to Lead - Follow-up” invites you to pause and reflect once again on your

BayWay® is an international, innovative and consistently practice-related program to improve
leadership behavior and to develop leadership competencies for a lasting transfer in day-today working life. BayWay® brings together Bayer leaders from different countries, subsidiaries
and functions and is a powerful source of networking and learning from others.
The program provides opportunities to go deeper into individual topics and to extend
leadership competencies in accordance with individual needs. As a BayWay® participant you

The BayWay® program consists of a virtual phase (3 months) and a one-week live training.
In the virtual phase the participants will work together in multicultural virtual teams (“shared

solutions to live cases. The participants are supported by active tutoring. In addition to
the “shared learning” process, every participant sets up an individual action plan to be
implemented in his/her work field. This action plan is mirrored by the team members and the

Before the BLE a 360° feedback session is initiated and its results utilized for a telephone
coaching session (approx. 60 minutes per participant) after the first module. In the seminar
you will apply peer and one-on-one coaching tools to discuss and work through the case
studies you and the other participants bring along to the training sessions. Role plays and
groupwork highlight amongst other topics how to successfully lead challenging employee
dialogues through suitable communication strategies (e.g. meta communication). The second
module is followed by a transfer phase in which participants have an opportunity to work on
their personal leadership objectives. In a follow-up telephone coaching session successful
options for action will be discussed and strengthened.

Bayer Leadership Excellence (BLE) -

This Bayer training program comprises two linked modules that cannot be booked separately
from each other.
Fifty percent of the course fees will be billed after the first module with the remaining to be
billed after the second module. Participants are responsible for full payment of all course fees
(which will be billed automatically) even if the participant does not attend the second module.
BLE is part of the Bayer Academy leadership curriculum and prepares participants for current
and future challenges involved in changing to a correspondent position. Having participated
in the Development Dialogue and set up an “Individual Development Plan”, every manager
should enroll within the first three to six months of taking on the new position.
If no recent 360° feedback results are available, the participant should initiate a 360° feedback
with the support of BBS-CT&D. To foster your learning success, we recommend you attend
“Bayer Leadership Excellence (BLE) Follow-up“. Each of the BLE modules is held in a hotel.

weeks
The CASRIP Summer Institute is the benchmark for intellectual property summer programs in
the United States. Directed by world-renowned University of Washington professor, Toshiko
Takenaka, the Summer Institute teaches the fundamentals of patent prosecution, patent
litigation, and technology licensing and management, from a comparative law perspective.
Summer Institute faculty include distinguished visiting professors, such as Professor Martin
Adelman from George Washington University, patent examiners from the United States Patent
and Trademark Office, and experienced government officials and litigators from Seattle, Silicon
Valley, and Washington, D.C.
A highlight of the Summer Institute is the two-day High Technology Protection Summit, which
attracts experts from around the world to discuss cutting-edge legal issues in intellectual
property law and innovation.
The Summer Institute also offers opportunities to network with patent practitioners during
fun summer activities - a Mariners’ game, receptions, a graduation dinner and other events
hosted by local Seattle law firms as well as an optional trip to the USPTO and the Federal
Circuit.
In 2013, supreme court justices from China and Taiwan as well as patent judges from Japan
and Korea plan to attend the CASRIP Summer Institute.

I. General Provision
The following General Terms and Conditions of Bayer Business Services of Bayer MaterialScience Limited – hereinafter called BBS – for Consulting
and Other Services are an integral part of the Consulting and/or Service Contract or any document of the same nature. Any conflicting or deviating
Client`s terms and conditions of purchase shall not be accepted unless BBS has expressly agreed to them in writing in each individual case.
Consulting and Other Services include, in particular, organizational and business consulting, technical consulting and support, either on site or
through any kind of telecommunication means (e.g. remote access), in connection with the introduction and upgrading of software systems, training
of the Client’s employees at the Client’s place of business and services under maintenance agreements.
II. Offer and Conclusion of the Contract
BBS reserves the copyright to all documents. They may be used only with respect to the performance of the Contract, and they may not be made
available to third parties or used for advertising purposes. Items that BBS has made available to the Client prior to the conclusion of the Contract
(e.g. proposals, test programs, concepts) are the intellectual property of BBS (see IX); they may not be copied or made available to third parties. If a
Contract fails to materialize, they must be returned or deleted and may not be used. In addition, the provisions of these General Terms and Conditions, and in particular the limitation of liability clause under section XI, also apply to the pre-contractual relationship as far as legally possible.
III. Contractual Commitment and Deadlines
BBS offers are subject to confirmation. Only written orders from the Client are binding upon BBS. BBS may accept orders from Clients only in writing
within Change to 30 days. Any subsequent changes to the contents of the Contract must be made in writing and are subject to consent by both
parties. The deadlines for the realization of the order are not binding, unless the written order confirmation specifically states binding deadlines. If
binding deadlines have been agreed, the Client shall grant an adequate grace period of generally four weeks in the event of a delay in performance.
IV. Performance of Services
It is the sole responsibility of the Client to stipulate the parameters of the task. The services are performed on the basis of the parameters stipulated
for the task by the Client and confirmed by BBS.
If services are performed at the Client’s place of business, only BBS shall be authorized to give instructions to its employees. The employees are not
integrated into the general operations of the Client. The Client may only give instructions in connection with the Contract to the BBS project manager. The Client has no authority to give instructions to individual employees of BBS.
It is the Client’s responsibility to ensure that the services set forth in the Contract meet his wishes and requirements. In case of any questions or doubts, the client has the obligation to seek advice from BBS employees or qualified third parties.
BBS may record the discussions regarding the specification or modification of the order. The Client shall review the records promptly, and if necessary, inform BBS with regard to any necessary changes and additions.
BBS is free to decide which employees to use and reserve the right to substitute employees at any time. It may also employ freelancers or may subcontract work in the fulfillment of the Contract.
If any services cannot be fulfilled due to reasons for which the Client is responsible, the agreed hours shall still be billed, unless the Client proves that
the scheduled BBS employees were assigned to other jobs.
V. Client Involvement
The Client shall ensure an adequate system architecture and environment for the software (i.e. hardware and operating system). He shall make adequate arrangements for the event that the software or parts thereof do not function properly (e.g. due to data backup, error diagnosis, regular audit
of results). It is his own duty to ensure that his data are saved in compliance with the state of the art.
The Client shall be involved, to the extent necessary and free of charge, in the performance of the contract, e.g. by providing employees, work
space, hard and software, data and telecommunication equipment. In as far as necessary, he shall grant BBS access to his hard and software, either
directly or through remote data transmission. He shall answer questions, check results and test the software immediately.
The Client shall designate in writing a contact person for BBS, as well as an address and E-mail address under which the contract person can be
reached. The contact person must be empowered to make the necessary decisions on behalf of the Client, or, at least, to bring about such decisions
promptly. The contact person shall maintain a good cooperation with the BBS project manager.
The Client shall bear the disadvantages and additional costs ensuing from a violation of these obligations.

VI. Remuneration, Payment, Reservation of Rights

In the absence of any other written agreements, the remuneration shall be based on the price and terms lists of BBS in effect from time to time.
All prices are value added tax (VAT exclusive. Applicable VAT or business tax shall be borne by the Client . BBS has the right to bill for partial performance, e.g. pro rata temporis. Payments are due 60 days after the invoice date.
The expenditure-based billing shall be substantiated by time logs to be provided by BBS. The Client may object to the recordings of the time logs in
writing within a period of two weeks. Thereafter, said bills shall be deemed to be accepted in full.
Travel times, travel expenses and accommodation/meal expenses shall be billed by BBS in accordance with the employee’s workplace. Travel time
and expenses are incurred for travel between the employee’s office and the respective offices of the Client, or between the various offices of the Client.
BBS may request instalment payment or full prepayment. If after the contract has been entered into, any doubts arise with regard to the solvency of
the Client, BBS may revoke any payment terms it may have granted and require immediate payment.
The Client does not have a right to withhold payment. The Client may only offset undisputed and legally recognized claims the cannot assign his
claims to third parties.
BBS reserves its title and other rights (Section IX) to the subjects of the Contract until its accounts receivable under the Contract have been paid in
full. The Client shall notify BBS immediately in writing in the event of seizure of the goods covered by the right of retention and inform the respective
third party of BBS’s rights.
VII. Amendments to Contract
During the term of the contract, both parties may propose amendments, in particular of the agreed services, methods and deadlines, in writing at any
time.
In the event of a proposal for amendment by the Client, BBS shall reply within 15 working days, whether the change is feasible and what effect it
will have on the Contract, in particular taking in account the timelines and remuneration. The Client then has to communicate to BBS immediately in
writing whether he wants to conclude the amendment at these conditions, or whether he wishes to continue with the Contract at the old conditions.
BBS may bill the Client for the cost arising from reviewing the proposed changes.
Any proposals for amendment by BBS must be reviewed immediately by the Client. They shall only become an integral part of the Contract after
being approved by the Client. As long as no agreement has been reached with regard to the changes, the work is continued on the basis of the existing Contract.
The Client may terminate the Contract subject to a notice period of 15 days from the end of the month. In such case, the Client shall put BBS into
the same position it would be in if the Contract had been performed according to plan. However, BBS is required to deduct any expenses it saves
due to the early termination of the Contract as well as any income it generates or maliciously fails to generate by assigning its staff to other jobs.
The right to termination for cause remains unaffected.
VIII. Acts of God
Acts of God of any kind, unforeseeable operational, transport or shipment failures, fire damage, floods, unforeseeable shortages of human resources,
energy, raw materials or supplies, strikes, lock-outs, acts of terrorism, regulatory orders, or other frustrations beyond the control of the party liable to
perform which delay, impede or render unacceptable the performance of the service(s), release such party from its obligation to perform or take delivery for the duration and extent of the disruption. If as a result of the disruption, the binding deadlines are exceeded by more than eight weeks, both
parties have the right to terminate the Contract.
IX. Rights
All rights to the results of the work – in particular copyright, rights to inventions as well as technical property rights – belong, as far as the Client is
concerned, exclusively to BBS, including work results that are resulting from the Client’s specifications or involvement. Unless anything to the contrary has been agreed in writing, the Client merely has the right to use the work results for his own purposes.

X. Acceptance and Notification of Defect

If there is a formal acceptance at the Client’s place of business, BBS must be notified of any defects promptly in writing, i.e. no later than within 15 working days
from the date of performance of the service at the Client’s place of business, including a detailed description of the defect.
If there is no formal acceptance at the Client’s place of business, the Client is required to check the work result within 15 days and to have the contact person issue a written statement, either declaring acceptance of the work, or describing any observed defects in detail. If he does not declare acceptance or if he uses the
service without issuing a notice of defect during such period, the service is deemed to be accepted. Defects which are not substantial for the usage of the work
result do not establish a right to refuse acceptance.
XI. Damages
No claims for compensation may be lodged by the Client - including those of a non-contractual nature - for any minor negligent breach of duty by
BBS, his executive staff or other agents, unless such breach concerns a duty that is crucial for the object of the contract.
BBS shall only be liable for indirect damage or damage which could not be foreseen at the time of conclusion of the contract if such damage is due
to a gross fault on the part of BBS, its executive staff or other agents.
The above limitations shall not apply to damage resulting from death, injury or damage to health.
XII. Rights of the Client in the Event of a Defect
Warranty claims of the Client arising from a defect are – irrespective of the type of contract – limited to a right to subsequent fulfillment. If BBS waives its right to subsequent fulfillment or if it does not perform within an adequate period of time, or if a defect still persists even after several rectification attempts, the Client may, in compliance with the statutory provisions, rescind the Contract or reduce payment. Any claims to damages in
accordance with Section XI. remain unaffected. The client has no right to rectify the defect himself and then claim reimbursement for the expenditure
incurred in doing so.
Any guarantee agreement must be made in writing. A statement of guarantee shall only be effective if it describes the content of the guarantee and
the duration and physical scope of guarantee protection in sufficient detail.
The Client bears the burden of proof that any limitations of use or any defects have not been caused (in part) by improper handling, interference on
the part of the Client or by the system environment.
XIII. Confidentiality
BBS and the Client undertake to keep secret and not disclose to any third parties all confidential information of which they gained knowledge in connection with the performance of the Contract and business secrets which one party discloses to the other, and to only use such information in connection with the fulfillment of the Contract and to not use it for commercial purposes, unless something different has been agreed in writing between
the parties. This obligation does not apply to information and experiences that, in their entirety,
a) were already available to the recipient at the time of their provision, or that have become available after their provision without the recipient being
at fault;
b) were already known by the recipient at the time of their provision;
c) have been made available
to the recipient by a third party after their provision.
Subject to the consent of the Client, BBS shall be entitled to refer to the existing business relationship with the Client in its information and advertising material.
XIV. Applicable Law, Venue
The contractual relationship between the Client and BBS is governed by German law. The venue for both parties is Cologne. In addition, BBS is entitled to file claims at the general place of jurisdiction of the Client.
XV. Severability Clause
Any amendments and additions to the Contract must be made in writing in order to be effective. There are no verbal collateral agreements.
In the event that individual provisions of these General Terms and Conditions are entirely or partially invalid, the validity of the remaining provisions or
of the remaining parts of such provisions is not affected. The parties shall replace an invalid provision by a valid provision that reflects the economic
purpose of the invalid provision as closely as possible.
