The LP&C Academy is a program created by Bayer LP&C colleagues for Bayer LP&C colleagues with the aim to enhance and grow the talent of each member in Bayer’s LP&C Law, Patents & Compliance Community. The performance of the LP&C function essentially depends on the quality and continued qualification of its staff members and leaders. Being a brilliant legal, patent or compliance attorney alone, does not suffice for being a good Bayer in-house counsel. We are partners Dr. Roland Hartwig Bayer AG Law, Patents & Compliance to the businesses we counsel. We lead the people we trust to solve the legal challenges in our functions every day. These tasks require skills and capabilities that go well beyond analysis of law, drafting contracts and patent applications, providing compliance advice +49 (0)2 14/30-8 11 95 [email protected] and investigating compliance issues. Therefore, it is not enough to recruit excellent people, as we do, for the roles and Law Pharmaceuticals responsibilities of the community. The aim of the LP&C Academy is to ensure continuous improvement by developing people into excellent advisors, business partners, leaders and personalities. This does not only involve profound legal education but also multidisciplinary competencies. By this way, we not only aim to enable our employee to grow both professionally and personally but also to offer the best career opportunities. However, people development - like feedback - is not a “one-way street”. None of us should wait until we are approached by our management with Development Plans. It should become everyone’s routine to approach his or hers direct management and discuss your expectations with them. We each need to evaluate ourselves, communicate our needs with our management, and create, discuss and then mutually follow the agreed upon Development Plan. The LP&C Academy catalog will then help you to find the right training for the development goal you have discussed with your manager. Based on the LP&C Competency Profiles, the LP&C Academy offers training courses that cover a base curriculum for every role. The base curriculum encompasses training for 1. Professional Skills 2. Bayer and Business Know How 3. Soft Skills 4. Leadership and Management Skills at each level - Entry, Advanced and Senior – and corresponds to the competencies described. You will find Competency Profiles for legal, patent and compliance counsel, as well as paralegals and assistants. All training courses will be offered virtually (e.g. Lync), or face to face in four different regional hubs in EMEA (Germany), NA/CAN (Pittsburgh), LATAM (Sao Paulo) and APAC (Hong Kong and Shanghai). When practical, these courses will be taught by Bayer LP&C colleagues (including but not limited to members of the Global Practice Groups) in an effort to provide Bayer-specific and cost-efficient training. Other offerings will be provided by external partners, including law schools, law firms, and education institutions. These so called LP&C Competency Profiles have been defined for legal, patent and compliance counsel as well as administrative assistants and paralegals. They take into consideration the level of development at entry level, advanced level and senior level. Competency Profiles have also been defined for Senior Expert and Head of LP&C roles. It is important to note that • t. he LP&C Competency Profiles are meant to represent the maximum of possible skills possessed by a colleague, and it is highly likely that an individual colleague will not possess all of the listed skills. Accordingly, the Competency Profiles should be adapted to the individual role at hand and should not be viewed as absolute prerequisites or requirements for advancement. They should provide orientation for defining development needs, assessment of current skills, readiness for potential advancement and identification of skill gaps and platform for training opportunities • t. he LP&C Competency Profiles and their different levels do not correspond to the contract levels Bayer HR uses to qualify job roles according to the Hay method. The deadlines for the realization of the order are not binding, unless the written order confirmation specifically states binding deadlines. If binding deadlines have been agreed, the Client shall grant an adequate grace period of generally four weeks in the event of a delay in performance. IV. Performance of Services It is the sole responsibility of the Client to stipulate the parameters of the task. The services are performed on the basis of the parameters stipulated for the task by the Client and confirmed by BBS. If services are performed at the Client’s place of business, only BBS shall be authorized to give instructions to its employees. The employees are not integrated into the general operations of the Client. The Client may only give instructions in connection with the Contract to the BBS project manager. The Client has no authority to give instructions to individual employees of BBS. It is the Client’s responsibility to ensure that the services set forth in the Contract meet his wishes and requirements. In case of any questions or doubts, the client has the obligation to seek advice from BBS employees or qualified third parties. BBS may record the discussions regarding the specification or modification of the order. The Client shall review the records promptly, and if necessary, inform BBS with regard to any necessary changes and additions. BBS is free to decide which employees to use and reserve the right to substitute employees at any time. It may also employ freelancers or may subcontract work in the fulfillment of the Contract. If any services cannot be fulfilled due to reasons for which the Client is responsible, the agreed hours shall still be billed, unless the Client proves that the scheduled BBS employees were assigned to other jobs. V. Client Involvement The Client shall ensure an adequate system architecture and environment for the software (i.e. hardware and operating system). He shall make adequate arrangements for the event that the software or parts thereof do not function properly (e.g. due to data backup, error diagnosis, regular audit of results). It is his own duty to ensure that his data are saved in compliance with the state of the art. The Client shall be involved, to the extent necessary and free of charge, in the performance of the contract, e.g. by providing employees, work space, hard and software, data and telecommunication equipment. In as far as necessary, he shall grant BBS access to his hard and software, either directly or through remote data transmission. He shall answer questions, check results and test the software immediately. The Client shall designate in writing a contact person for BBS, as well as an address and E-mail address under which the contract person can be reached. The contact person must be empowered to make the necessary decisions on behalf of the Client, or, at least, to bring about such decisions promptly. The contact person shall maintain a good cooperation with the BBS project manager. The Client shall bear the disadvantages and additional costs ensuing from a violation of these obligations. Remuneration, Payment, Reservation of Rights upage 3 In the absence of any other written agreements, the remuneration shall be based on the price and terms lists of BBS in effect from time to time. All prices are value added tax (VAT exclusive. Applicable VAT or business tax shall be borne by the Client . BBS has the right to bill for partial performance, e.g. pro rata temporis. Payments are due 60 days after the invoice date. The expenditure-based billing shall be substantiated by time logs to be provided by BBS. The Client may object to the recordings of the time logs in writing within a period of two weeks. Thereafter, said bills shall be deemed to be accepted in full. Travel times, travel expenses and accommodation/meal expenses shall be billed by BBS in accordance with the employee’s workplace. Travel time and expenses are incurred for travel between the employee’s office and the respective offices of the Client, or between the various offices of the Client. BBS may request instalment payment or full prepayment. If after the contract has been entered into, any doubts arise with regard to the solvency of the Client, BBS may revoke any payment terms it may have granted and require immediate payment. The Client does not have a right to withhold payment. The Client may only offset undisputed and legally recognized claims the cannot assign his claims to third parties. BBS reserves its title and other rights (Section IX) to the subjects of the Contract until its accounts receivable under the Contract have been paid in full. The Client shall notify BBS immediately in writing in the event of seizure of the goods covered by the right of retention and inform the respective third party of BBS’s rights. VII. Amendments to Contract During the term of the contract, both parties may propose amendments, in particular of the agreed services, methods and deadlines, in writing at any time. In the event of a proposal for amendment by the Client, BBS shall reply within 15 working days, whether the change is feasible and what effect it will have on the Contract, in particular taking in account the timelines and remuneration. The Client then has to communicate to BBS immediately in writing whether he wants to conclude the amendment at these conditions, or whether he wishes to continue with the Contract at the old conditions. BBS may bill the Client for the cost arising from reviewing the proposed changes. Any proposals for amendment by BBS must be reviewed immediately by the Client. They shall only become an integral part of the Contract after being approved by the Client. As long as no agreement has been reached with regard to the changes, the work is continued on the basis of the existing Contract. The Client may terminate the Contract subject to a notice period of 15 days from the end of the month. In such case, the Client shall put BBS into the same position it would be in if the Contract had been performed according to plan. However, BBS is required to deduct any expenses it saves due to the early termination of the Contract as well as any income it generates or maliciously fails to generate by assigning its staff to other jobs. The right to termination for cause remains unaffected. VIII. Acts of God Acts of God of any kind, unforeseeable operational, transport or shipment failures, fire damage, floods, unforeseeable shortages of human resources, energy, raw materials or supplies, strikes, lock-outs, acts of terrorism, regulatory orders, or other frustrations beyond the control of the party liable to perform which delay, impede or render unacceptable the performance of the service(s), release such party from its obligation to perform or take delivery for the duration and extent of the disruption. If as a result of the disruption, the binding deadlines are exceeded by more than eight weeks, both parties have the right to terminate the Contract. IX. Rights All rights to the results of the work – in particular copyright, rights to inventions as well as technical property rights – belong, as far as the Client is concerned, exclusively to BBS, including work results that are resulting from the Client’s specifications or involvement. Unless anything to the contrary has been agreed in writing, the Client merely has the right to use the work results for his own purposes. Acceptance and Notification of Defect u page 2 If there is a formal acceptance at the Client’s place of business, BBS must be notified of any defects promptly in writing, i.e. no later than within 15 working days from the date of performance of the service at the Client’s place of business, including a detailed description of the defect. If there is no formal acceptance at the Client’s place of business, the Client is required to check the work result within 15 days and to have the contact person issue a written statement, either declaring acceptance of the work, or describing any observed defects in detail. If he does not declare acceptance or if he uses the service without issuing a notice of defect during such period, the service is deemed to be accepted. Defects which are not substantial for the usage of the work result do not establish a right to refuse acceptance. XI. Damages No claims for compensation may be lodged by the Client - including those of a non-contractual nature - for any minor negligent breach of duty by BBS, his executive staff or other agents, unless such breach concerns a duty that is crucial for the object of the contract. BBS shall only be liable for indirect damage or damage which could not be foreseen at the time of conclusion of the contract if such damage is due to a gross fault on the part of BBS, its executive staff or other agents. The above limitations shall not apply to damage resulting from death, injury or damage to health. XII. Rights of the Client in the Event of a Defect Warranty claims of the Client arising from a defect are – irrespective of the type of contract – limited to a right to subsequent fulfillment. If BBS waives its right to subsequent fulfillment or if it does not perform within an adequate period of time, or if a defect still persists even after several rectification attempts, the Client may, in compliance with the statutory provisions, rescind the Contract or reduce payment. Any claims to damages in accordance with Section XI. remain unaffected. The client has no right to rectify the defect himself and then claim reimbursement for the expenditure incurred in doing so. Any guarantee agreement must be made in writing. A statement of guarantee shall only be effective if it describes the content of the guarantee and the duration and physical scope of guarantee protection in sufficient detail. The Client bears the burden of proof that any limitations of use or any defects have not been caused (in part) by improper handling, interference on the part of the Client or by the system environment. XIII. Confidentiality BBS and the Client undertake to keep secret and not disclose to any third parties all confidential information of which they gained knowledge in connection with the performance of the Contract and business secrets which one party discloses to the other, and to only use such information in connection with the fulfillment of the Contract and to not use it for commercial purposes, unless something different has been agreed in writing between the parties. This obligation does not apply to information and experiences that, in their entirety, a) were already available to the recipient at the time of their provision, or that have become available after their provision without the recipient being at fault; b) were already known by the recipient at the time of their provision; c) have been made available to the recipient by a third party after their provision. Subject to the consent of the Client, BBS shall be entitled to refer to the existing business relationship with the Client in its information and advertising material. XIV. Applicable Law, Venue The contractual relationship between the Client and BBS is governed by German law. The venue for both parties is Cologne. In addition, BBS is entitled to file claims at the general place of jurisdiction of the Client. XV. Severability Clause Any amendments and additions to the Contract must be made in writing in order to be effective. There are no verbal collateral agreements. In the event that individual provisions of these General Terms and Conditions are entirely or partially invalid, the validity of the remaining provisions or of the remaining parts of such provisions is not affected. The parties shall replace an invalid provision by a valid provision that reflects the economic purpose of the invalid provision as closely as possible.
