Memorandum of Understanding
Group Incentive
This Incentive Program for groups (called "MOU") will be effective on September 1, 2011,
between BRT-Repasse (herein "Agency") and U.S. Airways, Inc. (herein "U.S. Airways")
according to the terms and conditions contained herein.
Programa de Incentivo para grupos, (chamado de “MOU” ) feito em 01 de Setembro de 2011,
entre a BRT-Repasse (chamada de “Agência”) e a US Airways, Inc ( chamada “US Airways”) de
acordo com os termos e condições abaixo:
I. TERMS OF AGREEMENT / TERMOS DO ACORDO:
The Group Upfront Incentive shall commence on September 1st, 2011 and terminate on February
17st, 2013.
Este MOU deIincentivo Upfront para Grupos tem início em 1 de Setembro de 2011 e termino no
dia 17 de fevereiro de 2013.
II. UPFRONT INCENTIVES:
For the term of the MOU, Agency may earn front-end commission on BSP US ticketed revenue
for Group reservations booked and ticketed on US Airways stock (037) through a GDS per rules
bellow:
Pelos termos deste MOU a Agência receberá incentivos upfront pelos bilhetes US ( 037)
emitidos via BSP para reservas e emissões de grupos na US Airways através do GDS, conforme
Regras abaixo:
A.Markets / Mercados:
All group tickets issued in Brazil, originating in Brazil to USA, Canada, Caribbean and Latin
America
Todos os bilhetes de grupos emitidos no Brasil, com origem no Brasil para EUA, Canadá, Caribe
e América Latina.
B. Front-end Commission on GROUP Fares / Incentivos Upfront nas tarifas de GRUPOS:
- High Season / Alta Temporada
6% standard commission + 08% bonus commission over 94%
6% comissionamento base + 08% incentivo sobre 94%
Tour code / Tour code:
The Tour code BRGR08 must appear on the ticket tour code box. The lack of this tour code on
the ticket, will result in non-payment of incentive
O tour code BRGR08 deve constar no campo de tour code do bilhete. A falta deste tour code,
implicará no não pagamento dos incentivos.
- Low Season/ Baixa Temporada
6% standard commission + 10% bonus commission over 94%
6% comissionamento base + 10% incentivo sobre 94%

17th , 2013
Reservas e/ou contratos de Grupos entregues a agência do dia 1 de setembro de 2011 até 31 de
agosto de 2012.
III. General Conditions / Condições Gerais
All group terms to be determined by contract sent by the Group Department.
Demais condiçõe serão determinadas pelo Contrato de Grupos enviado pelo Departamento de
Grupos
VII. TERMINATION
VII. TÉRMINO
A. Either party may terminate this Agreement at any time without cause by giving not less than
ten (10) days prior written notice by either facsimile or express mail, with verification of delivery,
to the other party at the address set forth below. Except for all duties and obligations accruing
through the date of termination, each party releases the other from any and all claims, liabilities,
costs or expenses with the termination of this Agreement. Should any governmental agency’s
order invalidate the terms of this Agreement, then termination of this Agreement shall be
effective immediately upon receipt of such order.
A. Qualquer uma das partes pode rescindir este acordo a qualquer, sem motivo explícito, com
aviso prévio por escrito de 10 (dez) dias para endereço abaixo especificado. Com exceção de
todos os direitos e obrigações decorrentes, até a data de término, cada uma das partes, libera os
outros de todas e quaisquer reivindicações, responsabilidades, custos ou despesas com a
rescisão do presente acordo. Se qualquer órgão governamental invalidar os termos deste
Contrato, a denúncia do presente Acordo entrará em vigor imediatamente após a recepção de tal
ordem.
B. Further, US Airways reserves the right to terminate this Agreement without notice and
without obligation upon the occurrence of any of the following:
1. Misrepresentation by Agency, either willful or unknowing, of any information regarding
Agency revenue or any information related to this Agreement.
2. Transfer of ownership, wherein the majority ownership interest of Agency is sold or
transferred.
3. Misuse or abuse of travel benefits by Agency or its officers, agents or employees, through
sales for cash or services.
B. Além disso, a US Airways se reserva o direito de cancelar o presente Acordo, sem aviso
prévio e sem obrigação em caso de ocorrência de qualquer das seguintes situações:
1. Mal uso pela Agência, seja ou não de forma intencional, de qualquer informação a
respeito dos incentivos recebidos pela Agência ou quaisquer informações relacionadas a
este acordo.
2. Transferência de propriedade, onde a maioria acionária da agência é vendido ou
transferido.
3. O uso indevido ou abuso de benefícios de viagens pela Agência ou pelos seus
representantes, agentes ou
funcionários, por meio de vendas ou serviços.
VIII. CONFIDENTIALITY / CONFIDENCIALIDADE
This MOU is confidential and may not be distributed to a third party without the express written
consent of US Airways. Neither party will utilize the details or benefits of this Agreement in any
promotion, advertising or in discussions with other suppliers or vendors. Any breach of
confidentiality shall result in immediate termination of this Agreement as of the date of such
breach.
Este MOU é confidencial e não poderá ser distribuído a um terceiro sem o consentimento
expresso por escrito da US Airways. Nenhuma das partes poderá utilizar parte ou totalidade dos
benefícios do presente Acordo, em qualquer promoção, publicidade ou em negociações com
outros fornecedores ou vendedores. Qualquer violação de sigilo resultará na imediata rescisão
do presente acordo a partir da data de tal violação.
XIII. SIGNATURES REQUIRED TO BECOME BINDING / ASSINATURAS
NECESSÁRIAS PARA VALIDADE DO ACORDO
This MOU will not become binding unless signed by both parties and received and countersigned
by a US Airways authorized representative.
Este MOU só se torna válido com as assinaturas de ambas as partes, tendo recebido e assinado
por um representante autorizado da US Airways.
In witness whereof. The parties hereby execute the above Agreement commencing on the
aforementioned date.
Em testemunho. As partes firmam o referido acordo, que tem início na data acima mencionada.
