Portugal Telecom returns to Brazil

Portugal Telecom has turned to Garrigues Abogados' Lisbon office and Souza, Cescon, Barrieu & Flesch
Advogados in Brazil for its US$5 billion acquisition of a stake in Brazil's largest telecoms group, Oi - the
same firms the group hired for the sale of its share in Vivo to Spain's Telefónica.

Four Brazilian firms are thought to be advising Oi - Barbosa Müssnich & Aragão has confirmed its participation
and Ulhôa Canto, Rezende e Guerra - Advogados, Bocater, Camargo, Costa e Silva – Advogados and Eskenazi
Pernidji Advogados are said to be involved too.
Portugal Telecom sold its 50 per cent share in Vivo to Telefónica last year, despite the Portuguese government's
attempts to stop the deal from going ahead because it wanted the company to remain in Brazil.
Through the latest deal, Oi will also take a 10 per cent stake in the Portuguese company.
Oi, also known as Telemar, has a 30 per cent share of Brazil's fixed-lined telecoms market and 20 per cent of
wireless operations. In 2008 it announced plans to acquire Brasil Telecom for US$3.5 billion, to create the
country's largest telecoms company – a deal that required a change to the country's telecoms law and went
under heavy scrutiny from the antitrust authorities before it could proceed.
Barbosa Müssnich, Ulhôa Canto Rezende, Bocater Camargo and Eskenazi Pernidji all participated in that deal,
with White & Case LLP providing international advice.
