Geraldine Kyoko Tollenaar, employed at the offices of Houthoff Buruma, Amsterdam
with address (1082 MA) Amsterdam, Gustav Mahlerplein 50, born in Amstelveen on
the seventh day of June nineteen hundred seventy-nine, acting pursuant to powers of
attorney from:

Portugal Telecom, S G P S S.A., a company organized under the laws of
Portugal, with corporate seat at Lisbon, Portugal, having its place of business
at Avenida Fontes Pereira de Melo 40, 1069-300, Lisbon, Portugal and
registered with the Conservatoria do Registo Comercial in Lisbon, Portugal

("Seller");

("Purchaser");

("Company").
RECITALS
Seller and Purchaser agree that:
A.
Shares
Seller is the holder of forty-two (42) ordinary shares in the capital of the
Company, numbered 1 up to and including 42, each share having a par value
of five hundred euro (€ 500) ("Shares").
B.
Share purchase agreement
Seller wishes to sell and transfer the Shares to Purchaser, who wishes to
purchase and accept the Shares.

Seller and Purchaser agree:
Article 1. Sale, purchase and transfer
1.1.
Seller hereby sells and transfers the Shares to Purchaser, who hereby
purchases and accepts the Shares.
Article 2. Purchase price
2.1.
The purchase price amounts to two hundred and fifty-five million euro
2.2.
The Purchase Price will remain outstanding, as a result of which Seller will
(€ 255,000,000) ("Purchase Price").
have a claim on Purchaser in the amount ofthe Purchase Price.
2.3.
Seller and Purchaser hereby agree that Purchaser will pay the Purchase
Price to Seller within ten (10) business days (being any day (other than a
Saturday or Sunday) on which banks are open for normal banking business in
the Netherlands and Portugal) after the execution of this deed.
Article 3. Warranties of Seller
3.1.
Seller represents and warrants as follows:
a.
Seller holds uniimited and unconditional title to the Shares, and its rights
with respect to the Shares are not subject to reduction, rescission or any
type of nuUification;
b.
the Shares are free of any third-party rights (beperkte
rechten)
or
attachments, nor are there, with respect to the Shares, any options,
preferential rights, or other rights pursuant to which any person is
entitled to demand transfer of one or more of the Shares;
c.
d.
Seller is authorized to transfer the Shares;
no depositary receipts have been issued with respect to the Shares, nor
do any third parties have any other type of beneficial interest in one or
more of the Shares.
Article 4. Acquisition ofthe Shares
4.1.
Seller declares that it acquired the Shares on the twenty-fourth day of April
two thousand and one pursuant to a merger governed by Portuguese law
between Seiier as acquiring company and Portugal Telecom Investimentos,
SGPS,
S.A.
as
disappearing
company
by
which
Portugal
Telecom
Investimentos, SGPS, S.A. ceased to exist and Seller acquired all assets of
Portugal Telecom Investimentos, SGPS, S.A. by operation of law, including
but not limited to the Shares. Seller declares that Portugal Telecom
Investimentos, SGPS, S.A. acquired the Shares, as follows:
a.
forty (40) ordinary shares in the capital of the Company, numbered 1 up
to and including 40 by notarial deed of transfer of shares executed on
the twenty-third day of December nineteen hundred and ninety-nine
before A.A. Voorneman, a civil-law notary in Amsterdam;
b.
one (1) ordinary share in the capital of the Company, numbered 41 by
notarial deed of issuance of shares executed on the eighth day of

December two thousand before R.J.C. van Helden, a civil-law notary in
Amsterdam; and
c.
one (1) ordinary share in the capital of the Company, numbered 42 by
notarial deed of issuance of shares executed on the thirtieth day of
March two thousand and one before R.J.C. van Helden, civil-law notary
aforementioned.
Article 5. Restrictions on transfer
5.1.
With respect to compliance with the restrictions on the transfer of shares in
the Company's articles of association, Seller declares that as evidenced by
the document annexed to the present deed, the general
meeting of
shareholders of the Company has approved the transfer reflected herein.
Article 6. Company's representation
6.1.
The Company hereby declares that it acknowledges the transfer of the
Shares and undertakes to enter this transfer in the shareholders' register of
the Company.
CONCLUDING STATEMENT
The above-mentioned powers of attorney are evidenced by three (3) instruments
annexed to the present deed.
CONCLUSION
The person appearing in connection with this deed is known to me, civil-law notary.—

is executed in Amsterdam on the date stated at the head of the deed.
The substance of this deed and an explanation of the deed have been communicated
to the person appearing, who has expressly taken cognisance of its contents and has
agreed to its limited reading.
After a limited reading in accordance with the law, this deed was signed by the
person appearing and by me, civil-law notary.

Esclarecimentos relativos a aplicações de tesouraria
A Portugal Telecom, SGPS, S.A. (“PT”) vem prestar os seguintes esclarecimentos relativos às notícias veiculadas na
comunicação social relacionadas com a aplicação de tesouraria em papel comercial da Rio Forte Investments
S.A. (“Rioforte”), sociedade do Grupo Espírito Santo (“GES”).
A PT subscreveu, através das então subsidiárias PT International Finance BV e PT Portugal SGPS SA, um total de 897
milhões de euros em papel comercial da Rioforte com uma remuneração média anual de 3,6%. Todas as aplicações
de tesouraria em papel comercial da Rioforte atualmente em carteira têm vencimento em 15 e 17 de julho de 2014
(847 e 50 milhões de euros, respectivamente). As operações de tesouraria são realizadas num contexto de análise
de várias opções de investimento de curto prazo disponíveis no mercado, tendo como referência a atratividade da
remuneração oferecida, e têm acompanhamento e são sufragadas pela Comissão Executiva.
Adicionalmente, é importante referir que a subscrição do papel comercial da Rioforte tem presente a boa
experiência de 14 anos em aplicações de tesouraria no Banco Espírito Santo (“BES”) e em entidades do GES, no
contexto da parceria estratégica celebrada em Abril de 2000 entre as partes. Esta parceria estratégica contemplava
a troca de participações entre as duas entidades bem como a definição da PT como fornecedor preferencial de
telecomunicações ao Grupo Banco Espírito Santo e a definição deste como fornecedor preferencial de serviços
financeiros à PT.
A esta data o montante total de aplicações em papel comercial do GES ascende a 897 milhões de euros, relativo ao
investimento em papel comercial da Rioforte. Desde 28 de abril de 2014 não foram realizadas quaisquer aplicações
e / ou renovações deste tipo de investimentos. Adicionalmente, nesta data a PT International Finance BV e a PT
Portugal SGPS SA mantêm depósitos bancários junto do BES num total de 22 milhões de euros e a Portugal
Telecom, SGPS, S.A. depósitos bancários de 106 milhões de euros. Os valores acima representam a totalidade da
exposição ao GES/BES.
