Ao assinar este Acordo,
By my signature on this Informed Consent Declaration,
Eu, a Mãe, em meu nome e em nome do meu futuro filho/a (“o/a meu/
minha filho/a”), dou permissão à Future Health Biobank S.A. (“FHB”)
para receber, processar e testar o Sangue e/ou Tecido do Cordão retirado
da placenta e do cordão umbilical do/a meu/minha filho/a após o parto .
O Sangue e/ou Tecido do Cordão Umbilical será/serão criopreservado/s
e armazenado/s num banco privado para aplicações médicas futuras.
I, the Mother, on behalf of myself and my unborn child (“my child”)
hereby grant permission to Future Health Biobank S.A. (“FHB”) to
receive, process and test cord blood taken from the placenta and
umbilical cord of my child following delivery and/or cord tissue. The
cord blood and/or cord tissue will be processed, cryopreserved and
privately stored for future medical application.
Fui informada pela FHB que posso escolher um profissional de saúde
qualificado para o/a meu/minha filho/a estar presente no parto com o
objetivo de realizar a recolha do sangue e/ou tecido do cordão
umbilical do/a meu/minha filho/a. Os profissionais de saúde terão de
ser devidamente licenciados e formados para a recolha de sangue e/ou
tecido do cordão umbilical. A decisão de recolha do sangue umbilical é
da responsabilidade da equipa médica que está a realizar o parto.
I have been informed by FHB that I can choose a qualified healthcare
professional of my choice to attend the delivery of my child for the
purpose of collecting the cord blood and/or cord tissue. All qualified
healthcare professionals procuring cord blood and/or tissue need to be
duly licensed and properly trained. The decision to collect the cord blood
should be made by the medical team attending the birth.
Compreendo que não existem garantias de sucesso do processo de
recolha ou de que o sangue e/ou o tecido do cordão umbilical seja(m)
adequado(s) a ser(em) processado(s) pela FHB. Compreendo que o
processo de recolha não me causará desconforto ou dor e não interferirá com o parto. Compreendo que devo discutir com a equipa médica
quaisquer preocupações que tenha sobre o procedimento de recolha e
quaisquer riscos que possa representar para o meu filho ou para mim.
I understand that there is no guarantee or assurance of the success of the
collection procedure or that the cord blood and/or cord tissue will be
suitable for processing by FHB. I understand that the collection
procedure should cause me no discomfort or pain nor interfere with
the birth. I understand that I should discuss with my medical team any
concerns that I have about the collection procedure and any risks that
it may present to my child or me.
Compreendo que é da minha responsabilidade o envio da minha amostra
de sangue e/ou de tecido do cordão umbilical para a FHB contactando
a FHB e utilizando uma transportadora aprovada Compreendo que a
minha participação no processo de recolha de sangue e/ou de tecido do
cordão umbilical é voluntária e que posso parar essa recolha a qualquer
momento e retirar o meu consentimento. Parar a recolha não afetará de
forma alguma o/a meu /minha filho/a ou o meu tratamento.
I understand that it is my responsibility to arrange for the delivery of my
cord blood and/or cord tissue sample to FHB by contacting FHB and
using an approved courier company. I understand that my participation
in the cord blood and/or cord tissue collection procedure is voluntary
and that I may stop such collection at any time and withdraw my
consent. Stopping the collection will not affect my child or my treatment
in any way.
Confirmo estar ciente dos requisitos da FHB no que respeita aos testes
ao meu próprio sangue e que os testes são necessários de modo a
assegurar que o sangue e/ou o tecido do cordão umbilical é(são)
apropriado(s) para o processamento em concordância com este Acordo
de Armazenamento, e que as células estaminais são adequadas para
armazenamento. Dou o meu consentimento para a recolha do meu
sangue para este fim, para serem realizados testes ao meu sangue e para
que esses resultados sejam reportados à FHB. A FHB irá realizar teste
de PCR e Sorologia na amostra de Sangue Materno de acordo com os
respetivos regulamentos e diretrizes aplicáveis ao banco de sangue e
tecidos humanos. Compreendo que estes testes análises podem revelar
que sofro de uma doença da qual não tinha conhecimento prévio.
I confirm that I am aware of FHB's requirements for tests of my own
blood and I understand that such tests are necessary in order to ensure
that the cord blood and/or cord tissue are suitable for processing in
accordance with the Storage Agreement and that the stem cells are
suitable for storage. I consent to the collection of my blood for this
purpose, to the carrying out of tests on my blood and to the reporting of
the results of those tests to FHB. FHB will conduct PCR and Serology
testing on the primary Maternal Blood sample in accordance with the
relevant regulations and guidelines applicable to human tissue and cell
banks. I understand that such tests may reveal that I am suffering from a
disease of which I was previously unaware.
Compreendo que a eficácia e o sucesso da utilização de células
estaminais para tratamentos terapêuticos específicos dependem das
circunstâncias de cada caso individual. Mesmo que as células estaminais
do sangue do cordão umbilical e/ou as células estaminais mesenquimais
do tecido do cordão umbilical sejam armazenadas com sucesso e sejam
suscetíveis de serem utilizadas em tratamentos terapêuticos, o sucesso
desses tratamentos não pode ser garantido.
I understand that the effectiveness and success of using stem cells for
specific therapeutic treatments depends on the circumstances of each
individual case. Even if the cord blood stem cells and/or cord tissue
mesenchymal stem cells are successfully stored and are capable of
use in therapeutic treatments, the success of such treatments cannot be
guaranteed.

I understand that the provision of services by FHB is subject to its Terms
and Conditions which have been provided to me and to which I agree.

despesas de expedição do kit de recolha de sangue e/ou tecido do cordão umbilical por transporte especializado para o nosso laboratório. Este pagamento
não é reembolsável e deverá ser enviado juntamente com a cópia assinada do Acordo.
The Initial Administration Fee Includes: Account setup and administration fee. Delivery fee of Cord Blood and/or Cord Tissue Collection Kit.
Transportation fee of cord blood and/or tissue by courier to our laboratory. This is a non-refundable down payment and should accompany the signed
parents' agreement.
Custos de processamento e criopreservação das células estaminais do sangue e/ou tecido do cordão umbilical inclui: todos os testes à amostra de
sangue materno no dia do parto incluindo os PCR (NAT). Estes custos apenas serão cobrados se o processamento e armazenamento das células
estaminais tiverem ocorrido com sucesso.
The Processing and Cryopreservation Fee of Cord Blood Stem Cells and/or Cord Tissue: This fee includes all maternal blood tests at birth
including PCR (NAT). The processing fees are only payable after successful processing & storage of the relevant stem cells.

Storage Fees: We will include your first storage fees of cord blood stem cells and/or cord tissue on the same invoice as for the Processing &
Cryopreservation Fee. At the end of each storage period, you may renew the Agreement according to Conditions 10.2.

A recolha do Sangue Materno para os testes referidos, de
forma a cumprir as diretivas europeias, tem de ser feita no
momento do nascimento ou até 7 dias após a data de
nascimento. Recomendamos que estas sejam recolhidas no
momento do nascimento. As Amostras de Sangue Materno
devem ser recolhidas no momento do nascimento utilizando
todo o material fornecido. A Amostra deverá ser devolvida à
FHB dentro do cilindro plástico do Kit de recolha.
In keeping with the relevant official guidelines, the collection
of the mother's blood for these tests, must be carried out at
the time of birth or within 7 days from the date of birth.
We recommend that they are carried out at the time of birth.
Maternal Blood Samples must be collected at birth using all
the vials we provide and returned to us in the plastic cylinder
of the collection kit.

Materno. Tal como consta neste Acordo, o seu sangue apenas
será analisado com o propósito de avaliar se as células
estaminais do/a seu/sua filho/a são adequadas para
armazenamento.
We will inform you of the Results of the Maternal Blood tests.
As stated in the Agreement, we test your blood solely for the
purpose of determining if your baby's stem cells are suitable
for storage.
Relembramos, no entanto, que as análises realizadas ao
seu sangue podem revelar que sofre de uma doença da qual
não tinha conhecimento prévio e que essa doença pode ter
grandes consequências no estilo de vida de toda a família.
Recomendamos vivamente que fale com o seu médico sobre
a realização destas análises.
You should remember, however, that the tests we conduct on
your blood might reveal that you are suffering from a disease
of which you were previously unaware and that this disease
might have major consequences on your whole family's
lifestyle. We strongly recommend that you inform your doctor
that you will be having these tests.

"Mother's Informed
Consent Declaration"
The declaration appended to the present terms and
conditions by which You grant Your informed consent
regarding the storage of the Cord Blood and/or Cord
Tissue;

O esquema anexo a estas Condições que estabelece
quais as análises a serem realizadas ao sangue materno
para determinar se as Células Estaminais são
adequadas a serem armazenadas;
"Required Maternal
Blood Tests Schedule"
The schedule attached to these Conditions, which sets
out the tests which must be undertaken on the maternal
blood to assess whether the Stem Cells are suitable for
storage;
"Amostras"
Amostras do sangue e/ou tecido do cordão umbilical
"Samples"
Cord Blood and/or Cord Tissue Samples;
“Serviços”
O processamento, armazenamento e serviços
associados prestados pela FHB ao abrigo deste Acordo,

The processing, storage and associated Services to be
provided by Us under the Agreement in respect of the

2.
THE TERMS AND CONDITIONS OF THE PRESENT
AGREEMENT
2.1
A FHB concorda em fornecer os Serviços solicitados ao Cliente, desde que o Cliente pague à FHB as quantias especificadas
no Esquema de Pagamentos sempre que solicitado a fazê-lo e
que cumpra integralmente as obrigações definidas neste Acordo.
2.1
We agree to provide You with the Services applied for upon
payment of the relevant fees specified in the Fee Schedule and
fulfillment of your obligatons as set out in the Agreement.
2.2
As únicas pessoas que podem exercer os direitos do Acordo
são as expressamente referidas no Acordo, ou as pessoas que
legalmente as possam substituir.
2.2
The only people who can enforce rights under the Agreement
are those expressly referred to in the Agreement itself or those
who validly substitute them.
3.
RECOLHA DE SANGUE UMBILICAL E/OU DE TECIDO
DO CORDÃO
3.
COLLECTION OF THE MATERNAL BLOOD, CORD
BLOOD AND/OR CORD TISSUE
3.1
O Cliente é responsável por providenciar um profissional de
saúde para a recolha do Sangue Materno, Sangue e/ou do
Tecido do Cordão Umbilical no momento do nascimento da
Criança.
3.1
You are responsible for arranging for a health care professional
to collect the Maternal blood, Cord Blood and/or Cord Tissue at
the time of the birth of the Child.
3.2
Após receção do pagamento inicial, especificado no Esquema
de Pagamentos, a FHB fornecerá ao Cliente um kit para recolha
do Sangue e/ou do Tecido do Cordão Umbilical. O kit de
recolha deve ser mantido à temperatura ambiente, em
conformidade com as instruções do Kit.
3.2
Following Our receipt of Your payment of the initial fee
specified in the Fees Schedule, You will be provided with a kit
to collect the Maternal Blood, Cord Blood and/or Cord Tissue.
The collection kit must be stored at room temperature in
accordance with the instructions in the kit.
3.3
O Cliente é responsável pela contratação de profissionais de
saúde que façam a recolha do Sangue e/ou do Tecido do Cordão
Umbilical utilizando o kit fornecido ao Cliente de acordo com a
Condição 3.2, e de acordo com as instruções que a FHB fornece
com o kit.
3.3
You must arrange for a health care professional to collect the
Maternal Blood, Cord Blood and/or Cord Tissue using the kit
provided to You under Condition 3.2 in accordance with the
instructions in the kit.
4.
ENVIO DO SANGUE MATERNO, SANGUE E/OU DO
TECIDO DO CORDÃO UMBILICAL PARA A FHB
4.
SENDING THE MATERNAL BLOOD, CORD BLOOD
AND/OR CORD TISSUE TO US
4.1
As instruções para o transporte do Sangue Materno, Sangue e/
ou Tecido do Cordão Umbilical para o nosso laboratório após a
colheita estão junto do Kit fornecido ao cliente de acordo com a
Condição 3.2. Este Sangue e/ou o Tecido do Cordão Umbilical
será utilizado unicamente de forma a permitirmos prestar ao
Cliente os nossos Serviços.
4.1
Instructions for the transportation of the Maternal Blood, Cord
Blood and/or Cord Tissue to Our laboratories after collection
are included with the kit you receive as per Condition 3.2. This
blood and/or tissue will be used solely to allow Us to provide
You with Our Services.
4.2
É muito importante que siga todas as instruções da FHB. O
não cumprimento de qualquer uma das nossas instruções,
pode tornar o Sangue e/ou o Tecido do Cordão Umbilical
impropriado(s) para o processamento, e/ou armazenamento, ou
para utilização futura.
4.2
It is very important to comply with all Our instructions. Non
compliance with any of Our instructions could render the Cord
Blood and/or Cord Tissue unsuitable for processing and/or
storage, or for later use
5.
ANÁLISES SANGUÍNEAS NECESSÁRIAS
5.
REQUIRED MATERNAL BLOOD TESTS
5.1
O Cliente tem que cumprir com os requisitos da FHB
permitindo todos os testes de sangue que consta do Esquema de
Análises ao Sangue Materno.
5.1
You must comply with Our requirements by undergoing all of
the blood tests stipulated in the Required Maternal Blood Tests
Schedule.
5.2
Os teste especificados realizadas com o único propósito de
permitir à FHB avaliar se a/s amostra/s é/são adequada/s para
armazenamento. A FHB não interpreta, avalia ou utiliza esses
resultados para nenhum outro propósito ou finalidade, que não
seja aqui acima mencionado.
5.2
The blood tests specified above are undertaken for the sole
purpose of enabling Us to assess the suitability of the Samples
for storage. We will not interpret, assess or use the results of
any such blood test for any purpose other than stated hereabove.
5.3
Se:

If:
5.3.1
O Cliente não obedecer a qualquer uma das instruções dadas
pela FHB de acordo com as Condições 3 ou 4;
5.3.1
You fail to comply with any of Our instructions provided under
Condition 3 or 4;
5.3.2
O Cliente não cumprir com os requisitos da FHB ao abrigo da
Condição 5.1; ou
5.3.2
You fail to comply with Our requirement under
Condition 5.1; or

5.3.3
Qualquer das análises sanguíneas realizadas de acordo com
a Condição 5.1 revelar um resultado positivo, a FHB pode
rescindir o Acordo, notificando o Cliente por escrito de que as
amostras não são apropriadas para armazenamento, de acordo
com a Condição 5.3.1, 5.3.2 ou 5.3.3 (conforme o caso).
5.3.3
any of the blood tests carried out pursuant to Condition
5.1 produces a positive result, We are entitled to end the
Agreement by giving You notice in writing that the Samples are
unsuitable for storage under Condition 5.3.1, 5.3.2 or 5.3.3 (as
the case may be).
5.4
Se a FHB rescindir o Acordo com base no disposto na Condição
5.3:

If We terminate the Agreement on any of the grounds set out in
Condition 5.3:
5.4.1
A FHB não é obrigada a dar ao Cliente qualquer informação
sobre a razão pela qual as amostras não foram consideradas
apropriadas para armazenamento, a não ser para: (i) confirmar
que a FHB rescinde o Acordo com base na Condição 5.3.1,
5.3.2 ou 5.3.3 (conforme o caso); e (ii) se a FHB rescindir o
Acordo com base na Condição 5.3.3, fornecer ao Cliente os
resultados da(s) análise(s) sanguínea(s), realizada(s) ao abrigo
da Condição 5.1, que produziu(ram) um resultado positivo (de
modo a que o Cliente possa consultar e obter mais informações
junto do seu médico); e
5.4.1
We shall not be required to give You any further information
as to why the Samples are unsuitable for storage other than: (i)
to confirm that We are ending the Agreement on the grounds
of Condition 5.3.1, 5.3.2 or 5.3.3 (as the case may be); and (ii)
if We terminate the Agreement by reason of Condition 5.3.3,
to supply You with the results of the blood test(s) undergone
pursuant to Condition 5.1 that produced a positive result (so
that You may consult with and obtain further relevant
information from Your Doctor); and
5.4.2
À luz das Condições 5.2 e 12.2, a FHB não poderá ser
responsabilizada por qualquer perda ou dano resultante de: (i) a
FHB não ter fornecido ao Cliente qualquer informação
adicional, para além das referidas na Condição 5.4.1, sobre a
razão pela qual as amostras não foram adequadas a
armazenamento; ou (ii) incorreção ou falta de qualquer
informação que a FHB forneça ao Cliente sobre a razão pela
qual as Amostras não foram adequadas para armazenamento.
5.4.2
on the light of Conditions 5.2 and 12.2, We shall not be liable
for any loss or damage arising from: (i) Us not providing You
with any further information other than that required under
Condition 5.4.1 as to why the Samples are unsuitable for
storage; or (ii) the inaccuracy or incompleteness of any further
information that We might provide to You as to why the
Samples are unsuitable for storage.
6.
ARMAZENAMENTO DAS AMOSTRAS
6.
STORAGE OF THE SAMPLES
6.1
Se o Sangue Umbilical e/ou o Tecido do Cordão for(em)
adequado(s) para processamento, a FHB irá armazenar as
Amostras nas suas instalações e enviará ao Cliente um
certificado escrito do processamento e armazenamento bem
sucedidos das Amostras . Se, contudo, o Sangue Umbilical e/ou
o Tecido do Cordão for(em) inadequado(s) para processamento
devido a quantidade insuficiente de Sangue e/ou de Tecido ou
qualquer outra razão, ou inadequado(s) para armazenamento
devido a contaminação durante a recolha, ou baixo número de
células viáveis, a FHB notificará o Cliente por escrito. Se os
testes microbiológicos comprovarem que a amostra esta
contaminada, então, para que possam vir a ser usadas em aplicações alogénicas poderá ser necessário obter uma autorização das
autoridades competentes.
6.1
If the Cord Blood and/or Cord Tissue is suitable for processing,
We will store the Samples at Our storage facilities and send You
written confirmation of the successful processing and storage of
the Samples . If however the Cord Blood and/or Cord Tissue is/
are unsuitable for processing, due to an insufficient amount of
blood and/or tissue, or for any other reason, or unsuitable for
storage due to local contamination during collection, or because
of low viable cell count, which means that the Sample is no
longer compliant with the relevant guidelines, we will notify
You in writing to that effect. If the Sample is contaminated as
shown by the microbiological testing thenin order for it to be
used for allogeneic applications it might be necessary to obtain
authorization from the relevant regulatory authorities.
6.2
A FHB irá armazenar as Células Estaminais do Sangue
Umbilical num sistema de duplo saco, constituído por duas
câmaras independentes, durante o período de vigência do
Acordo, em concordância com os requisitos da própria FHB
para Boas Práticas e todos os requisitos relevantes (e todas as
suas atualizações). Também irá armazenar amostras de plasmas
e da fração de células mononucleares do sangue do cordão
umbilical.
6.2
We will store Cord Blood Stem Cells in a double bag system
which consists of two independent chambers for the duration
of the Agreement in accordance with Our guidelines for best
practice and all relevant regulatory guidelines (in force and
as amended from time to time). We will also store samples of
plasma and the mononuclear cell fraction from the Cord Blood.
6.3
A FHB irá armazenar o Tecido do Cordão Umbilical durante
a vigência do Acordo, em concordância com os requisitos da
própria FHB para Boas Práticas e todos os requisitos das
respetivas entidades reguladoras (e todas as suas atualizações).
6.3
We will store Cord Tissue for the duration of the Agreement
in accordance with Our guidelines for best practice and all
relevant regulatory guidelines (in force and as amended from
time to time).
6.4
Se, contudo, o Sangue e/ou o Tecido do Cordão Umbilical
for(em) inapropriado(s) para processamento, ou inadequado(s)
para armazenamento, o Hospital ou o pessoal hospitalar que
procederam à recolha não serão responsabilizados.
6.4
If however the Cord Blood and/or Cord Tissue is unsuitable for
processing due to insufficient blood, or unsuitable for storage
due to local contamination during the collection or low vitality
or low cell count, the hospital or hospital personnel who
performed the extraction will be in no way liable.
6.5
Acrescenta-se ainda que caso o procedimento de recolha não
seja realizado por qualquer razão, o Hospital ou o pessoal
hospitalar não serão responsabilizados.
6.5
Furthermore, if the procedure is not performed correctly or not
performed at all for any reason, the hospital or hospital
personnel will not be liable.

7.
CONTROLO DAS AMOSTRAS
7.
CONTROL OF THE SAMPLES
7.1
Com exceção do disposto na Condição 11.6, o Cliente deterá
controlo efetivo sobre as amostras até a Criança atingir a idade
de 18 (dezoito) anos, altura em que esse controlo passará para a
Criança, ou para o seu representante legal.
7.1
Except as set out in Condition 11.6, You will retain effective
control over the Samples until the Child reaches the age of 18
(eighteen) at which time effective control will pass to the Child
or to his or her legal representative.
7.2
A FHB apenas aceita pedidos de resgate das Amostras de
acordo com a Condição 9.1: (i) do Cliente, se a Criança for
menor de 18 anos na altura do pedido; ou (ii) da Criança, ou
do seu representante legal caso a Criança tenha atingido os 18
anos.
7.2
We will only accept requests for the release of the Samples
under Condition 9.1 (i) from You if the Child is under 18 when
the request is made; or (ii) from the Child or from his or her
legal representative if the Child has reached the age of 18.
7.3
Se o Cliente falecer antes da Criança atingir os 18 anos, os
direitos do Cliente ao abrigo deste Acordo podem ser transferidos
para qualquer pessoa que detenha ou a quem tenha sido atribuído
o poder paternal da Criança. A FHB reserva-se ao direito de
requerer documentação de suporte, incluindo sentenças de
tribunal, que comprovem a atribuição do poder paternal, bem
como os seus direitos implícitos neste Acordo, a qualquer pessoa
que não a Mãe (ou o Pai, se aplicável) da Criança.
7.3
If You die before the Child reaches the age of 18, then Your rights
under the Agreement may be enforced by any person who has or
is granted legal responsibility for the Child. We reserve the right
to require supporting documentation, including orders of the
courts, to verify the grant of such parental responsibility and the
rights associated therewith under this Agreement to any person
other than You as mother (or, if applicable, father) of the Child.
7.4
Se a Criança falecer antes de atingir os 18 anos, os direitos do
Cliente ao abrigo deste Acordo continuarão válidos e atribuídos
ao Cliente. Se a Criança falecer após ter atingido os 18 anos
e ter tomado controlo efetivo das Amostras de acordo com
a Condição 7.1, os direitos da Criança ao abrigo do Acordo
passarão para os seus sucessores legais ou de acordo com o
disposto em testamento, se existir.
7.4
If the Child dies before reaching the age of 18, Your rights
under the Agreement will subsist and remain vested in You. If
the Child dies after reaching the age of 18 and taking effective
control of the Samples under Condition 7.1, the Child's rights
under the Agreement shall pass to the beneficiaries of the
Child's estate to distribute in accordance with the Child's will or
with the applicable rules of intestacy.
8.
PAGAMENTOS
8.
OUR FEES
8.1
O Cliente concorda em pagar à FHB os valores especificados
no Esquema de Pagamentos, sempre que solicitado a fazê-lo.
8.1
You agree to pay to Us the relevant fees specified in the Fees
Schedule when We ask for their payment.
8.2
Se o Cliente falhar com qualquer pagamento especificado no
Acordo até 7( sete) dias após a receção da fatura, a FHB pode
cobrar juros diários sobre o valor em dívida, a uma taxa mensal
de 5% ( cinco por cento) por mês sobre esse valor, até que o
pagamento seja feito na totalidade.
8.2
If You fail to make any payment due to Us under the Agreement
for 7 (seven) days following our request for such payment, We
shall be entitled to charge interest at the legal rate of 5% (five
per cent) per month on the amount due until the latter is paid
in full.
8.3
Se o Cliente falhar com qualquer pagamento especificado no
Acordo até 60 (sessenta) dias após receção da fatura, a FHB
pode rescindir o Acordo, tal como disposto na Condição 10.5.3.
8.3
If You fail to make any payment due to Us under the
Agreement within 60 (sixty) days following our demand for
such payment, We shall have the right to terminate the
Agreement in accordance with Condition 10.5.3.
9.
LIBERTAÇÃO DAS AMOSTRAS PARA TRATAMENTO
9.
RELEASE OF THE SAMPLES FOR TREATMENT
9.1
Se, em qualquer altura da duração do Acordo, for necessário
libertar as Amostras para tratamento da Criança ou de qualquer
outra pessoa: (i) o Cliente deverá notificar essa necessidade à
FHB por escrito, se a Criança ainda não tiver 18 anos; ou (ii) a
Criança deverá notificar essa necessidade à FHB por escrito, se
já tiver 18 anos.
9.1
If at any time during the life of the Agreement the release of
the Samples is required for the treatment of the Child or of any
other person: (i) You are required to give Us notice in writing
to that effect if the Child is under the age of 18; or (ii) the Child
or his/her legal representative must notify Us in writing to that
effect if he or she has reached the age of 18.
9.2
Em qualquer notificação enviada para a FHB de acordo com
a Condição 9.1 deverá constar o nome e morada do Hospital
e do médico que será responsável por avaliar a adequação da
amostra e administrar o tratamento.
9.2
Any notice given under Condition 9.1 must include the name
and address of the hospital and medical practitioner who will
be responsible for assessing the suitability of the Sample and
administering the treatment.
9.3
Após receção da notificação enviada de acordo com a Condição
9.1, a FHB preparará as amostras para transporte de acordo com
os seus próprios procedimentos de preparação e no prazo de
tempo pedido pelo Cliente, nos limites do razoável.
9.3
On receipt of any notice presented under Condition 9.1,We
will prepare the Samples for transport in accordance with Our
standard preparation procedures and, as far as is normally
practicable, within a reasonable deadline.

10.
DURAÇÃO E TERMINO DO ACORDO
10.
DURATION AND TERMINATION OF THE AGREEMENT
10.1
O Acordo tem início no dia em que o Cliente o assinar. O cancelamento
antecipado previsto na Condição 10, termina no dia em que a FHB
deixar de armazenar a/s Amostra/s nas suas instalações. Os períodos de
armazenamento especificados no Esquema de Pagamentos começam no
dia do nascimento da Criança.
10.1
The Agreement begins on the day You sign the Agreement.
Subject to its earlier cancellation or termination under this
present Condition 10, it ends on the day We cease to store the
Samples at Our storage facilities. The storage periods specified
in the Fees Schedule begin on the day that the Child is born.
10.2
No final de cada período de armazenamento pelo qual o Cliente
tenha pago à FHB os montantes especificados no Esquema de
Pagamentos, o Cliente terá o direito de solicitar a renovação do
Acordo por um período de tempo igual ou diferente do anterior.
Este período de armazenamento deve iniciar-se a partir do final
do período anterior, sobre os termos do Acordo em vigor nessa
altura e sujeito ao pagamento dos valores em vigor no inicio do
perídio de armazenamento da/s Amostra/s
10.2
Upon the expiry of any storage period for which You have paid
the fees as specified in the Fees Schedule, You shall have the
right to renew the Agreement for a further storage period of
equal or different duration. This storage period shall run from
the end of the preceding period on the terms of the fees
schedule of the standard Agreement in force at that time,
subject to the payment of the applicable fees at the start of the
new storage period.
10.3
O Cliente tem o direito de mudar de ideias sobre a realização do
Acordo e cancelá-lo em qualquer altura, até 7 (sete) dias úteis
após a data da assinatura do Acordo. Contudo, o Cliente perderá
este direito se solicitar à FHB o início da prestação dos Serviços
antes de terminar este período de 7 (sete) dias úteis.
10.3
You have the right to change Your mind about entering into the
Agreement and to cancel the Agreement at any time for up to
7 (seven) working days after the day You sign the Agreement.
However You lose this right if You ask to receive the Services
prior to the end of the 7 (seven) working day period.
10.4
Se o Cliente desejar cancelar o Acordo, deverá notificar a
FHB por escrito antes do final do período de 7 (sete) dias úteis
referido na Condição 10.3 para que tal notificação seja válida.
Se o Cliente cancelar o Acordo por motivo válido ao abrigo
desta Condição 10.4, a FHB irá reembolsá-lo de qualquer
pagamento feito no prazo de 30 (trinta) dias após receção da
notificação (sujeito à taxa de câmbio vigente na altura), exceto
do Pagamento Inicial especificado no Esquema de Pagamentos,
que não é reembolsável a não ser que o Cliente devolva o kit à
FHB não danificado e fechado, com os selos intactos durante
esse prazo de 30(trinta) dias
10.4
If You do want to cancel the Agreement, You must give Us
notice in writing before the end of the 7 (seven) working day
period referred to in Condition 10.3 hereabove. If You validly
cancel the Agreement in accordance with the present Condition
10.4, We will, within 30 (thirty) days of receiving Your notice
of cancellation, refund any advance fees You have paid to Us
(subject to any applicable exchange rate), except for the Initial
Payment specified in the Fees Schedule which is
non-refundable unless You return, at your cost, the kit to Us
undamaged and unopened with the seals intact during this 30
(thirty) day period.
10.5
A FHB pode rescindir o Acordo notificando o Cliente por
escrito se:

We can terminate this Agreement by giving You notice in
writing if:
10.5.1 O Sangue e/ou o Tecido do Cordão Umbilical não for(em)
adequado(s) para processamento;
10.5.1 the Cord Blood and/or Cord Tissue is unsuitable for processing;
10.5.2 A/s Amostra/s não for/em adequada/s para armazenamento;
10.5.2 the Samples are unsuitable for storage;
10.5.3 O Cliente falhar com qualquer pagamento devido à FHB ao
abrigo deste Acordo no prazo de 60 (sessenta) dias após receção
da fatura da FHB; ou
10.5.3 You fail to make any payment due under the Agreement within
60 (sixty) days of receiving our invoice; or
10.5.4 O Cliente não cumprir com qualquer das instruções da FHB ao
abrigo das Condições 3 ou 4 ou não realizar qualquer uma das
análises sanguíneas especificadas no Esquema de Análises ao
Sangue Materno.
10.5.4 You fail to comply with any of Our instructions set out under
Condition 3 or 4 or to undergo any of the blood tests set out in
the Required Maternal Blood Tests Schedule.
10.6
Ambas as partes podem rescindir este Acordo em qualquer altura, através
de notificação escrita e no prazo mínimo de 60 (sessenta) . Em caso de
cessação ao abrigo da Condição 10.6, a FHB reembolsará o Cliente de
qualquer pagamento relativo ao armazenamento pago antecipadamente
pelo cliente(para que não haja dúvidas, ao reembolso a efetuar será
deduzido o montante relativo ao tempo de armazenamento já utilizado

10.6
Either party to this Agreement may terminate it at any time by
giving not less than 60 (sixty) days' notice in writing. If We
terminate the Agreement under the present Condition 10.6 We
shall refund any advance storage fees paid to us. For the
avoidance of doubt, the above refund will be prorated to the
storage period which we will have effectively provided.
However, this refund shall concern neither the Initial Payment
nor the Processing and Cryopreservation Fee.
11.
FIM DO ACORDO
11.
ENDING THE AGREEMENT
11.1
Se o Acordo terminar por qualquer outra razão que não o seu
cancelamento por parte do Cliente, de acordo com a Condição
10.4, o Cliente não terá direito a qualquer reembolso de
qualquer pagamento feito ao abrigo do Acordo, excepto se:

If the Agreement ends for any reason other than Your cancellation
of the Agreement in accordance with Condition 10.4, You will not
be entitled to receive a refund of any advance storage fees You
have paid to Us under the Agreement, except where:

11.1.1 O Cliente rescindir validamente o Acordo devido a uma falha
grave das obrigações da FHB constantes no Acordo, falha essa
que (se passível de ser remediada), a FHB não tenha remediado
até 30 (trinta) dias após receber notificação por escrito por parte
do Cliente de que essa falha ocorreu.
11.1.1 You validly terminate the Agreement following a serious breach of
Our obligations under the Agreement, which (if capable of remedy)
We have not remedied within 30 (thirty) days of receiving notice in
writing requiring Us to make good that breach;
11.1.2 A FHB rescindir o Acordo ao abrigo da Condição 10.6; ou
11.1.2 We terminate the Agreement following Condition 10.6; or
11.1.3 A FHB rescindir o Acordo ao abrigo da Condição 10.5.2 com
base no disposto na Condição 5.3.3.
11.1.3 We terminate the Agreement in accordance with Condition
10.5.2 on the grounds set out in Condition 5.3.3.
11.2
Se o Cliente tiver direito, ao abrigo da Condição 11.1, a receber
um reembolso por qualquer pagamento que tenha feito à FHB ao
abrigo deste Acordo, mesmo assim não terá direito ao reembolso
do Pagamento Inicial nem do valor de Processamento e
Criopreservação Inicial especificados no Esquema de Pagamentos.
11.3
Antes do final do Acordo (exceto se este tiver sido rescindido
pela FHB ao abrigo das Condições 10.5.1, 10.5.2 ou 10.5.4),
a FHB enviará uma carta para a última morada conhecida do
Cliente ou (se aplicável) para a morada de um terceiro nomeado
pelo Cliente ao abrigo da Condição 17, pedindo instruções
sobre o destino a dar a/às Amostra/s. Se a FHB rescindir o
Acordo ao abrigo da Condição 10.6 como resultado de cessação
de atividade, a FHB compromete-se a fazer todos os esforços
para identificar e notificar o Cliente sobre instalações
alternativas para o armazenamento da/s Amostra/s durante o
restante período de armazenamento contratado.
11.3
Before the end of the Agreement (except when it has been
terminated by Us in accordance with Condition 10.5.1, 10.5.2
or 10.5.4), We will write to You at Your last known address or,
if applicable, at the address of the third party selected by You
under Condition 17 for Your instructions as to with the
disposition of the Samples. If We terminate the Agreement in
keeping with Condition 10.6 because we cease to trade for any
reason, We will do our best to put You in touch with a suitable
alternative storage facility for the Samples for the
remainder of the relevant storage period.
11.4
Se de acordo com a Condição 9 o Cliente pretender tomar posse
da/s Amostra/s por qualquer outra razão que não o tratamento
da Criança ou de qualquer outra pessoa ou se o Cliente quiser
arranjar alternativas para o armazenamento da/s Amostra/s,
o Cliente deverá informar a FHB o mais depressa possível
e nunca após 60 (sessenta) dias antes do final do Acordo. A
FHB apenas disponibilizará a/s Amostra/s ao Cliente (ou a
um terceiro indicado pelo Cliente) na condição do Cliente se
responsabilizar pelo seu armazenamento apropriado no futuro.
A responsabilidade da FHB declina sobre a/s Amostra/s termina
a partir do momento em que deixam de estar armazenadas
nas instalações da FHB. Chamamos a atenção do Cliente para
a Condição 12. E de acordo com esta Condição o Cliente é
responsável pelos custos inerentes ao transporte da/s Amostra/s.
11.4
If, in accordance with Condition 9, You wish to take possession
of the Samples for any reason other than the treatment of the
Child or any other person, or if You want to make alternative
arrangements for the storage of the Samples, You must inform
Us as soon as possible and in any event no later than 60 (sixty)
days after the end of the Agreement. We will only release the
Samples to You or to a third party designated by You on the
Condition that You assume responsibility for their future proper
storage. Our responsibility for the Samples ends once they are
no longer stored at Our facilities. Your attention is drawn to
Condition 12 According to which You are responsible for the
cost of transporting the Samples.
11.5
Se a FHB tiver custos adicionais com a entrega da/s Amostra/s
de acordo com o pedido do Cliente ao abrigo da Condição 11.4,
o Cliente deverá reembolsar a FHB de tais custos.
11.5
If We incur any additional costs in disposing of the Samples in
accordance with Your requests under Condition 11.4, You shall
reimburse Us for all such costs.
11.6
Se o Cliente não der instruções à FHB sobre a/s Amostra/s
de acordo com a Condição 11.4, no final do período de 60
(sessenta) dias referido na Condição 11.4 todos os direitos sobre
a/s Amostra/s passam para a FHB que poderá dispor delas como
bem entender, o que pode incluir a sua doação a um Banco
Público de Células Estaminais.
11.6
If You fail to give Us instructions for the disposal of the
Samples in accordance with Condition 11.4, then, at the end
of the 60 (sixty) day period referred to in Condition 11.4, all
rights on the Samples will pass to Us and We shall be entitled to
dispose of them as We see fit, which may include donating them
to a Public Stem Cell Bank.
12.
COMPROMISSO DA FHB PARA COM O CLIENTE

OUR LIABILITY TO YOU
12.1
A FHB garante que os Serviços prestados ao Cliente ao abrigo
deste Acordo serão fornecidos: (i) com cuidado e
profissionalismo; e (ii) de acordo com os procedimentos da
FHB para as Boas Práticas, com todos os regulamentos
Diretrizes aplicáveis aos bancos de células e tecidos humanos
(e todas as suas atualizações). Com exceção do disposto nesta
Condição 12.1, todas as condições e garantias, expressas ou
implícitas, que digam respeito à prestação dos Serviços pela
FHB ficam excluídas no limite máximo permitido por lei.
12.1
We warrant that the Services to be provided by Us under the
Agreement will be executed: (i) with reasonable care and skill;
and (ii) in accordance with Our guidelines for best practice and
all relevant regulations and guidelines applicable to human
tissue and cell banks. Except as expressly set out in this
Condition 12.1, all Conditions and warranties, express or
implied, as to the provision of the Services by Us are hereby
excluded to the fullest extent permitted by law.
12.2
O Cliente reconhece que, dada a natureza dos Serviços: (i)
não podem ser dadas garantias quanto à eficácia e sucesso da
utilização da/s Amostra/s para tratamentos terapêuticos
específicos, pois estes dependem das circunstâncias de cada

12.3.2 We shall ensure that: (i) the storage tank in which the Samples
are stored is, in the event of any failure of the electricity
supply to that tank, capable of indefinite manual operation at
the same level of functionality and with the same effect as when
it is running on electricity; and (ii) in the event of any material
functional or technical failure of the storage tank in which the
Samples are stored which reduces its functionality below the
required level, the Samples shall be transferred to another
back-up storage tank of the required functionality.

Us under Condition 12.1 or any other term(s) of the Agreement
in the event of any inability on Our part to perform any of Our
obligations under the Agreement due to any circumstances
beyond Our reasonable control (including, but not limited to,
the failure of any equipment or power supply or any strike,
industrial action, war, act of terrorism, fire, act of God, changes
in legislation or prohibition or enactment of any kind); and

Except for liability for death or personal injury caused by

abrigo do Acordo, quer seja contratual, delitual (incluindo
negligência) ou outra, será apenas por perda direta ou danos e
não excederá €10.000 (dez mil Euros); e
12.4.1 Our maximum liability to You under or in connection with the
Agreement, whether in contract, tort (including negligence) or
otherwise, shall be for direct loss and damage only and will not
exceed 10,000€ (ten thousand Euros); and
12.4.2 A FHB não será responsabilizada de modo nenhum, contratual,
delitual, estatutário ou outro, por quaisquer prejuízos
económicos (incluindo, mas não limitados a quaisquer
aumentos de custos ou despesas ou perdas de lucros, negócios,
contratos, dividendos ou poupanças antecipadas) ou qualquer
perda indireta ou consequente que possa ser sofrida pelo
Cliente devido a, ou relacionada com o fornecimento de
Serviços pela FHB.
12.4.2 We shall not under any circumstances be liable in contract, tort,
statute or otherwise for any economic loss (including, but not
limited to, any increased costs or expenses or loss of profit,
business, contracts, revenues or anticipated savings) or any
indirect or consequential loss howsoever arising, which may
be suffered by You and arise out of or in connection with Our
supply of the Services.

desta Condição 12 também se aplicam aos diretores,
funcionários, agentes, subcontratados e outros representantes
da FHB.

The benefit of the exclusions and limitations of liability in this
Condition 12 shall also apply to Our directors, employees,
agents, sub-contractors and other representatives.
13.
INFORMAÇÃO PESSOAL

PERSONAL INFORMATION
13.1
A FHB solicitará certas informações pessoais ao Cliente que
dizem respeito ao Cliente e à Criança, de modo a fornecer os
Serviços ao Cliente. O Cliente é responsável pela exatidão e
veracidade dessas informações e garante à FHB que todas essas
informações são corretas e verdadeiras.
13.1
We will request certain personal information from You
regarding Yourself and the Child in order to provide the
Services to You. You are responsible for the accuracy and
truthfulness of such information and You warrant and undertake
to Us that all such information is true and correct.
13.2
A FHB apenas utilizará as informações pessoais do Cliente e da
Criança com o propósito de fornecer os Serviços ao Cliente. A
FHB irá tratar as informações pessoais do Cliente e da Criança
como confidenciais e não as divulgará a terceiros, exceto com
autorização prévia do Cliente ou por ordem legal. A FHB está
registada no Data Protection Act 1998 e os dados pessoais do
Cliente e da Criança serão processados de acordo com essa
legislação.
13.2
We will use Your and the Child's personal information only for
the purposes of providing the Services to You. We will treat
Your and the Child's personal information as confidential and
We will not disclose it to any third party except with Your prior
agreement or as required by law. We are registered under the
relevant Data Protection Regulations. Yours and the Child's
personal information will be processed accordingly.
13.3
A informação pessoal que a FHB obtém do Cliente pode
incluir informação pessoal sensível, como informação médica.
O Cliente autoriza a FHB a processar essa informação para
os propósitos estabelecidos no Acordo e para a prestação dos
Serviços.
13.3
The personal information We obtain from You may include
sensitive personal data such as medical information. You
consent to Our processing of such data for the purposes set
out in the Agreement and for the purposes of providing the
Services.
13.4
A FHB reserva-se ao direito de solicitar documentação
adicional para verificação das informações pessoais, com a
garantia de discrição absoluta.
13.4
We reserve the right to request supporting documentation to
verify personal information in Our absolute discretion.
13.5
O Cliente deve notificar imediatamente a FHB de qualquer
alteração às informações pessoais que tenham sido fornecidas
previamente à FHB.
13.5
You must notify Us immediately of any change in the personal
information You have provided to Us.
13.6
O Cliente aceita que a FHB possa transferir as suas informações pessoais, bem como as da Criança, a qualquer comprador
do negócio ou da própria FHB ou a qualquer outra pessoa que
inicie a prestação dos Serviços.
13.6
You agree that We have the right to transfer Your and the
Child's personal information to any purchaser of Our business
or company or any other person who takes over the provision of
the Services.
13.7
O cliente concorda com o envio de material promocional sobre
os nossos Serviços, pois acreditamos que possa ser do seu
interesse. Caso não pretenda receber informação terá de nos
informar por escrito, para o endereço indicado na Condição 1,
ou um endereço alternativo para o qual a FHB o tenha
notificado esporadicamente.
13.7
You agree that we may or send You advertising or promotional
material regarding Our Services, which We believe may be of
interest to You. If You do not wish to receive any such
communications, You may inform Us in writing by post to Our
address as set out in Condition 1 above or any alternative
address that We notify to You from time to time.
14.
DIREITO DE ALTERAÇÃO DAS CONDIÇÕES PELA
FHB
14.
OUR RIGHT TO CHANGE THESE CONDITIONS
14.1
Se: (i) alterações na legislação, códigos de conduta da indústria
ou conselho ou diretrizes autoridades reguladoras; ou (ii)
quaisquer outras regras ou regulamentos façam com que seja
necessário que a FHB altere o seu modo de operar, a FHB
reserva-se ao direito de fazer as alterações consequentes a estas
Condições a qualquer altura, dando ao Cliente conhecimento de
tais alterações num período não inferior a 30 (trinta) dias.
14.1
If: (i) by reason of changes in legislation, industry codes of
practice or advice, or guidelines from the relevant regulatory
authorities; or (ii) any other rules or, regulations make it
necessary for Us to change the way We operate, We reserve the
right to make consequent and corresponding changes to these
Conditions at any time by giving not less than 30 (thirty) days'
notice to You of any such change(s).
15.
CEDÊNCIA DA POSIÇÃO CONTRATUAL
15.
ASSIGNMENT
15.1
A FHB pode ceder a sua posição contratual neste Acordo a
qualquer pessoa, firma ou empresa. A FHB notificará o Cliente
de tal cedência. Aquele a quem o presente Acordo é atribuído
será obrigado aos seus Termos e Condições.
15.1
We reserve the right to assign this Agreement to any person,
firm or company. We will give You notice of any such
assignment. Whoever this Agreement is assigned to will be
bound by its Terms and Conditions.

16.
LEI, CONFLITOS E LINGUAGEM
16.
LAW, DISPUTES AND LANGUAGE
16.1
O Acordo é regido pelas Leis da Suíça.
16.1
The present Agreement is governed by the laws of Switzerland.
16.2
O Cliente concorda que quaisquer disputas entre o Cliente e a
FHB ao abrigo ou em concordância com o Acordo, terão lugar
nos tribunais Suíços. Contudo, se o Cliente viver num país que
não a Suíça, isto não afetará os direitos do Cliente ou da FHB
de intentar a competente ação judicial nos tribunais do país de
residência do Cliente.
16.2
You agree that any disputes between the parties to the present
Agreement shall be heard in the Swiss courts. However, if
You live in a country other than Switzerland, both parties to
the present Agreement shall have the right to take action in the
courts of Your country of residence.
16.3
Iremos fornecer-lhe uma cópia do presente Acordo, no seu
idioma. No entanto, a língua oficial do presente acordo é Inglês.
Se houver alguma inconsistência entre a versão em Inglês e a
versão no seu idioma, a versão em Inglês prevalecerá.
16.3
We will provide you with a copy of this Agreement in Your
own language. However the official language of this Agreement
is English. If there is any inconsistency between the English
version and the version in Your language, the English version
shall prevail.

NOTIFICAÇÕES

NOTICES
17.1
Se o Cliente necessitar de enviar para a FHB quaisquer
notificações ou comunicações ao abrigo do Acordo, deverá
fazê-lo por carta registada com aviso de receção para a morada
da FHB indicada na Condição 1, ou para qualquer morada
alternativa indicada pela FHB.
17.1
If You need to send Us any notices or communications under
the Agreement, You must send them in writing by first class
or registered post/ recorded delivery to Our address as set out
in Condition 1 above or any alternative address that We may
notify to You from time to time.
17.2
Se a FHB necessitar de enviar notificações ou comunicações ao
Cliente ao abrigo do Acordo, irá enviá-las por carta registada
com aviso de receção para a morada indicada pelo Cliente na
secção apropriada deste Acordo (página 2). Se o Cliente mudar
de morada em determinada altura, deverá informar a FHB dessa
nova morada assim que possível.
17.2
If We need to send You any notices or communications under
the Agreement We will send them in writing by first class or
registered post/recorded delivery to Your address as notified
by You to Us in the relevant section of this Agreement. If You
change your address at any time, You must notify Us of Your
new address as soon as possible.
17.3
Se o Cliente não estiver contactável na morada indicada por um
período contínuo superior a 30 dias, é extremamente importante
que informe a FHB o mais depressa possível sobre: (i) as datas
de início e de fim desse período; e (ii) a morada onde o Cliente
estará contactável ou o nome e a morada de um terceiro
indicado pelo Cliente para receber notificações e comunicações
da FHB em seu nome durante esse período, ao abrigo e/ou em
concordância com o Acordo.
17.3
If You will not be reachable at Your address for any continuous
period of more than 30 days, it is very important that You notify
Us as soon as possible of: (i) the start and end date of any such
period; and (ii) the address at which You will be reachable or
the name and address of the third party designated by You to
receive on your behalf during that period notices and
communications from Us under and/or in connection with the
Agreement.
17.4
Se o Cliente não estiver contactável poderá designar uma
terceira pessoa escolhido por si para receber notificações e
comunicações da FHB ao abrigo e/ou em relação com o Acordo. Tal designação terá que incluir o consentimento escrito do
terceiro para que a FHB utilize os seus dados pessoais para este
fim. Qualquer notificação feita a este terceiro é presumida pela
FHB como tendo sido feita ao Cliente e a FHB presumirá que,
após a receção da notificação pelo terceiro, o Cliente estará
ciente do conteúdo e matéria de tal notificação, como se esta
tivesse sido feita diretamente ao Cliente.
17.4
If you are not reachable, You may designate any third party
of Your choice to receive notices and communications under
and/or in connection with the Agreement from Us. Any such
designation must include that third party's written consent for
Us to use his/her personal information for such purposes. Any
notice served on this third party by Us is deemed to have been
served on You. Once any such notice has been served on such
third party, You will be deemed to have received and become
aware of the contents and subject matter of such notice as if it
had been served on You personally.

responsáveis pelas obrigações financeiras emergentes
deste Acordo.

and he shares with the Mother parental

below. In this case both the mother and father are
each 100% responsible for the economic
obligations arising from this Agreement.
