MINUTES OF THE EXTRAORDINARY GENERAL MEETING HELD ON JULY 21, 2008
1.Date, Time and Place: Meeting held on July 21, 2008, at 3:00 pm, at the Company’s
headquarters, located at Rua Mar de Espanha 525, Santo Antônio, CEP 30330 -270, in
the City of Belo Horizonte, State of Minas Gerais . 2.Attendance: Shareholders
representing more than fifty perc ent (50%) of the capital stock with voting right, as per
signatures on the Shareholders Attendance Book. Also attended the meeting Messrs.
Ricardo Augusto Simões Campos , Chief Financial Officer and Investor Relations Officer ,
Marco Aurélio Martins da Costa Vasconcelos, Chief Executive Officer’s Adviser . 3. Call:
The Call Notice was published pursuant to Article 124, Federal Law 6,404/1976, in the
Official Gazette of the State of Minas Gerais , in issues as of July 4, 5 and 8, in Estado
de Minas newspaper, in issues as of July 3, 4 and 5, and in Valor Econômico
newspaper, in issues as of July 3, 4 and 7, 2008. 4. Presiding Board: Mr. Ricardo
Augusto Simões Campos, Chief Financial Officer and Investor Relations Officer took the
chair of the meeting, pursuant to Sole Paragraph of article 9 of the Company’s Bylaws,
who invited Mr. Marco Aurélio Martins da Costa Vasconcelos to be his secretary.
5. Agenda: 5.1. (a) election of a Board of Directors member and Fiscal Council member
of the Company, as appointed by th e majority shareholder; (b) donation, in devolution,
as recommended by the Board of Directors, of a property referring to the land where the
15m 3 reservoir was located, with a 140m 2 area, located at R ua Oito, sem número,
Jardim Nova Esperança, in the City of Areado, State of Minas Gerais, once it was
originally donated to COPASA MG by said Municipal Government ; (c) donation, in
devolution, as recommended by the Board of Directors , of properties referring to the
land where the treated water rising and the collection of the Manoel José brooks with a
1,655,0m² area; José Junqueira with a 72m² area and Campestre with a 492m² area,
located in the City of Campestre, Minas Gerais, once they were originally donated to
COPASA MG by said Municipal Government . 6. Resolutions: 6.1. After discussing the
matters, the following resolutions were taken , in the following order , according to the
vote of attending shareholders : (a1) election, by majority vote , after the analysis of said
curriculum and verification of other perta ining requisites, to occupy the position of
member of the Company’s Board of Directors , substituting Professor Antonio Augusto
Junho Anastasia, who resigned on June 27, 2008, Mr. Alberto Duque Portugal, Brazilian,
married, Agricultural Engineer , CI no. 378.585-SSP/MG, Individual Taxpayer’s Registry
(CPF) no. 021.376.661-20, domiciled in the City of Belo Horizonte/ State of Minas
Gerais, on Avenida Assis Chateaubriand , 46, apartamento 1301, Bairro Floresta . The
investiture of the Board of Director member elec ted is subject to : (i) the signature of
Managers’ Instrument of Consent , required by the Novo Mercado Regulation; (ii) the

signature of the instrument of investiture drawn up in the Company’s records ; and (iii)
the signature of the disengagement declaratio n pursuant to the applicable legislation .
The term of office of the Board of Director member elected shall expire at the Annual
General Meeting which approves the accounts of the fiscal year to be ended on
December 31, 2008; (a2) after being consulted, the representative of the Majority
Shareholder declared the new member for the position in the Fiscal Council would not
be appointed at this Meeting ; (b) to approve, by unanimous vote, the donation, in
devolution, as recommended by the Board of Directors, of a property not servable,
referring to the land where the 15m 3 rising was located, with a 140m² area, located at
rua Oito, sem número, Jardim Nova Esperança, in the City of Areado, State of Minas
Gerais, once it was originally donated to COPASA MG by said Municipal Government ;
(c) to approve, by unanimous vote, the donation, in devolution, as recommended by the
Board of Directors, of properties not servable, referring to the land where the treated
water rising and the collection of the Manoel José brooks wer e located, with a 1,655.0m²
area; José Junqueira with a 72m² area and Campestre with a 492m² area, located in the
City of Campestre, State of Minas Gerais, once they were originally donated to COPASA
MG by said Municipal Government . 7. Closure: Nothing else to be discussed, the
meeting was adjourned for the time necessary to draw up these present minutes, which
were read, found in compliance and signed by all attending shareholders, approved in
the summary format and the publication omitting the shareholder s’ signature, pursuant
