NOVO BANCO, S.A. informs on the completion of the sale
of shares in Companhia de Seguros Tranquilidade to the
investment fund Apollo
NOVO BANCO informs that, after having obtained the required regulatory
approvals and following the lift of the injunction that had been granted by the
Lisbon Court of Appeal (Tribunal da Relação de Lisboa), it has completed on this
date the sale of shares representing the entire share capital of Companhia de
Seguros Tranquilidade to a company managed by the investment fund Apollo
pursuant to the terms of the agreement entered into on 12 September 2014.
As these shares had been given to NOVO BANCO as a financial pledge to secure
a loan granted to Espírito Santo Financial Group, the completion of the sale was
made by way of enforcement of the financial pledge.
As already communicated, the consideration received by NOVO BANCO
corresponds to the best offer received during the sale process initiated by the
shareholder of Companhia de Seguros Tranquilidade submitted by Apollo and
adjusted as a result of the changes in the Company’s balance sheet between 31
December 2013 and 12 September 2014.
