NOTICE TO THE MARKET
Brasil Insurance Participações e Administração S.A. (“Company”), a publicly-held company,
headquartered at Avenida das Américas no. 500, Bloco 19, sala 301 (parte), Barra da
Tijuca, CEP: 22640-100, in the City and State of Rio de Janeiro, inscribed in the roll of
corporate taxpayers (CNPJ) under no. 11.721.921/0001-60, with its articles of incorporation
registered at the Board of Trade of the State of Rio de Janeiro under NIRE 33.3.0029291-8,
hereby announces that, in view of the approval, by unanimous vote, at the Extraordinary
Shareholders’ Meeting, of the Company’s stock split, through which each existing share
will be represented by 100 shares, the unit price referring to the withdrawal rights
exercised due to the acquisition of Sebrasul Assessoria e Corretagem de Seguros Ltda
and Previsão Empreendimentos e Corretagem de Seguros Ltda will be R$3.8084 and
R$3.991, respectively.
Note that the period for dissenting shareholders to exercise their right to withdraw from
the Company in relation to the acquisition of Sebrasul Assessoria e Corretagem de
Seguros Ltda will expire on July 13, 2011, and in relation to the acquisition of Previsão
Empreendimentos e Corretagem de Seguros Ltda will expire on August 1, 2011.
