O modelo Express segue o conceito de lojas menores, com área média de 400m2 e sortimento selecionado em torno de 15 mil itens, adequado às características locais e ao perfil dos clientes destas lojas. As lojas tradicionais possuem área média de vendas de 1.500m2 e oferecem aproximadamente 50 mil itens. A empresa garante aos seus clientes preços competitivos em relação à concorrência e oferece produtos de qualidade reunidos nas categorias bombonière, biscoitos, brinquedos, CDs, DVDs, utilidades domésticas, higiene, cosméticos, papelaria, vestuário, cama, mesa e banho, eletrodomésticos, entre outras. Ao final de 2006, a Companhia contava com 237 lojas – 205 no formato Tradicional e 32 no formato Express – equivalentes a 372,1 mil m2 de área de vendas. Lojas Americanas possui três centros de distribuição responsáveis pelo abastecimento das lojas. Diariamente, circulam pelas Lojas Americanas cerca de 800 mil clientes, de perfil predominantemente feminino (77%) das classes A, B e C. Campanhas sazonais A capacidade de realizar diversos eventos sazonais ao longo do ano como Páscoa, Dia das Mães, Dia das Crianças e Natal é um dos diferenciais de Lojas Americanas. Além destas campanhas tradicionais, existem também as criadas e desenvolvidas para atender necessidades específicas do nosso públicoalvo, como o Festival da Mulher, Festival do Bebê, Show do Chocolate, Festival da Beleza e Volta às Aulas, entre outras. Mercado de Capitais A Financeira Americanas Itaú ou Americanas Taií dedica-se ao financiamento de compras e oferta de crédito pessoal via cartões de crédito de marca própria (private label) e os cartões VISA e Mastercard (co-branded), além de cartões de empréstimo pessoal. Sua atuação ocorre através de 247 pontos de venda – 237 instalados dentro da rede de Lojas Americanas e 10 em lojas próprias. A oferta de cartões teve início em maio de 2006 e, ao final do ano, a Americanas Taií já havia emitido mais de 600 mil cartões, sendo 375 mil private label, 223 mil de empréstimo pessoal e 22 mil co-branded. Em 31/12/2006, a FAI apresentava volume de recebíveis equivalente a R$180 milhões. As ações de Lojas Americanas S.A. estão listadas na Bolsa de Valores de São Paulo (Bovespa) sob os códigos LAME4 (preferenciais) e LAME3 (ordinárias), e as ações da B2W estão listadas sob o código SUBA3. A documentação relativa ao processo de fusão já está sob análise da Comissão de Valores Mobiliários (CVM) e, tão logo terminem os trâmites, a B2W receberá autorização para a mudança de ticker (código de negociação) para BTOW3. Cabe ressaltar que as ações SUBA3 já refletem o capital total da B2W. B2W – Companhia Global do Varejo Americanas Taií Capital Markets B2W – Companhia Global do Varejo is the company that resulted from the merger between Americanas.com and the e-commerce portal, Submarino. The merger was approved by the shareholders of both companies at shareholder meetings held on December 13, 2006. Financeira Americanas Itaú – or Americanas Taií – provides customers with purchase financing and personal lines of credit through private label credit cards and co-branded VISA and Mastercard credit cards, as well as personal loan cards. The Company operates 247 points of sale – 237 of which are set up in Lojas Americanas stores and 10 in separate Americanas Taií outlets. The cards were first offered in May 2006 and, by the end of the year, more than 600,000 had been issued, of which 375,000 were private label cards, 223,000 were personal loan cards and 22,000 were co-branded. At year-end, FAI had receivables equivalent to Lojas Americanas S.A. shares are traded on the São Paulo Stock Exchange (Bovespa) under the tickers LAME4 (preferred shares) and LAME3 (common shares) and those of B2W are traded under the ticker SUBA3. Lojas Americanas was founded in 1929, in Niterói, Rio de Janeiro, and operates in all regions of Brazil (19 states and the Federal District) with Traditional and Express stores. Conforme o plano de negócios da Americanas Taií, no segundo semestre de 2006 teve início a oferta dos cartões de crédito co-branded Americanas Itaú (Mastercard/VISA) nas versões nacional e internacional. Os cartões private label não cobram taxa de anuidade ou custos de emissão, e podem ser utilizados para financiamento das compras imediatamente após a sua emissão. As compras podem ser feitas em até 40 dias sem juros ou em até 15 parcelas fixas com juros, e alguns produtos têm descontos especiais quando pagos com estes cartões. Os cartões de empréstimo pessoal permitem aos clientes o acesso a empréstimos com limites pré-aprovados, em até 12 parcelas, realizando os saques em dinheiro nos mais de 23.000 caixas eletrônicos do Banco Itaú. Americanas Taií The strategy adopted by Americanas Taií focuses on increasing lines of credit and financial services to Lojas Americanas customers and facilitating the payment of purchases, whether in the bricks-and-mortar stores or through the Americanas.com website. Constituição da B2W com elevados padrões de governança corporativa Em novembro, Lojas Americanas anunciou a fusão de sua subsidiária Americanas.com com o portal de comércio eletrônico Submarino. A operação resultou na criação de uma única Companhia chamada B2W. Os acionistas de Lojas Americanas e do Submarino passaram a possuir 53,25% e 46,75% do capital da B2W, respectivamente. A nova empresa é constituída sob as regras estabelecidas pelo Novo Mercado da Bovespa, o mais alto nível de governança corporativa. Estas incluem uma base acionária composta exclusivamente por ações ordinárias e a eleição de membros independentes para o Conselho de Administração. A B2W contará com um Conselho de Administração formado por nove membros, sendo cinco indicados por Lojas Americanas e quatro membros independentes. Lojas Americanas e B2W assinaram um termo de voto e de assunção de obrigações que rege os assuntos de governança corporativa e os itens relativos à participação acionária. Por um período de quatro anos, Lojas Americanas estará impedida de adquirir ações adicionais da B2W que superem a quantidade de 10% do free float, sem a aprovação prévia da maioria dos membros independentes do Conselho de Administração (standstill). Lojas Americanas também estará impedida de vender as ações da B2W obtidas através do acordo de fusão por um período de dois anos (lockup). Corporate Events in 2006 Buyback of shares in Americanas.com In a shareholders’ meeting that took place in August 2006, Lojas Americanas acquired the remaining shares in Americanas.com, turning the latter into a wholly-owned subsidiary. Lojas Americanas had previously held 81% of the shares in Americanas.com. The transaction was effected through the issue of Lojas Americanas shares to the minority shareholders in Americanas.com. B2W set up with high standards of corporate governance In November, Lojas Americanas announced the merger of its subsidiary, Americanas.com with the e-commerce portal, Submarino, to form a single company called B2W. The shareholders in Lojas Americanas and Submarino were thereupon allocated 53.25% and 46.75% of the share capital in B2W, respectively. The new company has been constituted according to the rules of Bovespa’s Novo Mercado, in line with the highest standards of corporate governance. These rules include a shareholding base made up exclusively of common shares and the election of independent members to the Board of Directors. Gestão Corporativa De acordo com seu Estatuto Social, Lojas Americanas é administrada por dois órgãos: o Conselho de Administração e a Diretoria. Conselho de Administração O Conselho de Administração é composto por três a dez membros eleitos na Assembléia Geral para cargos de três anos, com direito à reeleição. Todos deverão ser acionistas e residentes no Brasil. O Presidente do Conselho, por sua vez, é apontado pelos Conselheiros eleitos. Diretoria A Diretoria pode ser composta por dois a doze diretores, um deles designado DiretorSuperintendente. Cabe a esta, as atribuições de deliberar sobre todas as matérias da empresa que tenham de ser submetidas ao Conselho de Administração. A remuneração da Diretoria é fixada na Assembléia Geral e seus honorários divididos de acordo com a deliberação do Conselho de Administração. Conselho Fiscal O Conselho Fiscal de Lojas Americanas é composto por até cinco membros efetivos e até cinco suplentes. Seu funcionamento tem caráter não-permanente. Corporate Management In accordance with its Bylaws, Lojas Americanas is managed by two bodies: the Board of Directors and the Executive Board. Board of Directors The Board of Directors shall comprise three to ten members, elected by the General Meeting for a three-year period, with the right to re-election. The Chairman of the Board is chosen from among the elected Board Members, all of whom should be stockholders of the Company and residents in Brazil. Executive Board The Executive Board shall comprise two to twelve executives, one of whom will be appointed Superintendent Director. The Executive Board is responsible for taking decisions on all Company matters, which are subsequently submitted to the Board of Directors. The members of the Executive Board are elected by the Board of Directors for a one-year period with the right to re-election, and must be Brazilian, residents in the country and stockholders of the Company. The remuneration of the Executive Board is established by the General Meeting and their fees are divided as deliberated by the Board of Directors. Audit Committee The Audit Committee consists of up to five sitting members and up to five substitute members, and has the powers and duties conferred by law, as well as the legal precepts that relate to requirements, impediments, remuneration, composition, induction, functions, duties and responsibilities.
