MINUTES OF MEETING OF THE EXECUTIVE BOARD HELD
ON MARCH 20th, 2008.
The meeting of the Executive Board of MRV ENGENHARIA E PARTICIPAÇÕES
S.A., opened upon attendance of all of its members, regardless of summoning, having
Mr. RUBENS MENIN TEIXEIRA DE SOUZA as chairman and Mrs. JÚNIA MARIA DE
SOUSA LIMA GALVÃO as secretary, was held at 10:00 AM of March 20th, 2008, at
the company’s headquarter, at Avenida Raja Gabaglia, 2720, (other than the right side
of the 1st floor and suite 21), bairro Estoril, in Belo Horizonte, State of Minas Gerais. In
compliance with the Agenda, the following deliberations was taken by unanimous vote:
to authorize, according to article 28, §1, “j” from the Social By-Laws, the creation of 3
(three) branches, being (1) in Fortaleza, State of Ceará, at Avenida Santos Dumont
No 2727, Condomínio Edifício Etevaldo Nogueira, room 504, Bairro Aldeota, CEP
60.150-161, (2) in Contagem, State of Minas Gerais, at Av. das Américas No 108
(lote No 11 and No 12, quadra 33), Bairro Cabral, CEP 32.145-000 and (3) in São
José dos Campos, State of São Paulo, on Avenida Cidade Jardim No 1.857, Bairro
Jardim Satélite, CEP 12.231-675 and 2 (two) administrative offices in Belo
Horizonte, State of Minas Gerais, located (1) on Rua Sílvio Oliveira Martins, lote 12,
quadra 24, Bairro Buritis, CEP 30.575-150 and (2) at Rua Patagônia No 651 (lote 42,
quadra 150), Bairro Sion, CEP 30.320-080. The provisions of these minutes were
approved by the members of the present Executive Board, who subscribe them. Belo
