Overview .
The third edition of the Forum will be held October 4, 2012, at the
Harvard Club, in New York City. The program will feature panel discussions on the recent developments in Brazilian airports, railways
and ports, as well as in the areas of oil and gas – a permanent source
of interest in Brazil – and civil construction, a basic instrument for
private involvement in infrastructure.
The seminar is organized by the Brazilian American Chamber of Commerce, Inc. (www.brazilcham.com) and Editora Fórum – Fórum Cultural (www.editoraforum.com.br). The event has the support of Brazilian
and U.S. law firms: Justen, Pereira, Oliveira & Talamini – Advogados,
Vinson & Elkins, LLP and Smith International Legal Consultants, P.A.,
and may receive support from many other firms and media partners
between now and the date of the seminar. The panels and discussions will be conducted in English or Portuguese, with simultaneous
translation.
Following the success of the 2011 edition, the event will end in a
networking luncheon, this time featuring keynote speakers.
Why attend? .
With the 2014 World Cup and the 2016 Olympic Games drawing near,
Brazil has spent billions on public works. Infrastructure development
has become a great concern of the Brazilian government, in order to
keep pace with its rapidly expanding economy and growing cities.
Many investors are confident that Brazil´s strengthening internal
capital market, growing consumer class and rapid industrialization
hold the promise of long-term sustained growth.
The focus of the III Brazil Infrastructure Investments Forum is strategic infrastructure areas already in great expansion.
Airport industry witnessed a major shake-up this year when it offered
private companies concessions to operate three of the major airport
terminals in Brazil. Major expansions are also underway in airports
of the cities that will host the sports events.
Railway and ports are one of the priorities of the federal growth acceleration program (PAC) in view of the rise in demand of Brazil foreign
trade and internal transportation of goods. Several major projects are
underway to improve the countries surface transportation networks
and waterway systems.

Brazil’s vast deepwater oilfields known as pre-salt promise to take
the country into the ranks of the world´s top oil producers over the
next decade. The gas industry in Brazil has also enormous potential
for development and civil construction is the sector with the greatest
expectation of investment in the next years.

Infrastructure Law of Brazil
2012-2013 edition

The launch of the 2012-2013 edition of the book “Infrastructure Law of Brazil”,
edited by Marçal Justen Filho and Cesar A. Guimarães Pereira and published by
Editora Fórum, a Brazilian publishing house, will take place during the event. Each
participant will receive a free copy of the book. The launch is a pretext for the attendees to delve further into many other areas of Brazilian infrastructure, in addition to
the ones covered in the panels.
The book provides the reader with a solid foundation on the Brazilian law in the areas of energy, oil and gas, telecommunications, transport and logistics, sanitation,
waste management, mining, competition law, corporate tax and environmental law.

Some history:
the II Brazil Infrastructure Investments Forum, in 2011
This is the second time that the Brazilian American Chamber of Commerce and Editora Fórum partner to bring to the
U.S. and Brazilian audiences an opportunity for intense discussion and networking around key infrastructure issues.
Around 200 professionals attended the II Brazil Infrastructure Investments Forum held October 20, 2011, at the
Hudson Hotel in New York City. The seminar was organized
in association with the Americas Society/Council of the
Americas and was sponsored by Multiterminais (a Brazilian logistics conglomerate), ABRATEC (an association of
Brazilian companies in the container terminal sector) and
PEI Media (a British publisher responsible for the monthly
publication Infrastructure Investor). The media sponsors
were the Financial Times, and Agência Estado, and the media partners were Latin America Monitor and Latin Finance.
The event was supported by a vast array of Brazilian and
U.S. organizations: ICDR – International Center for Dispute Resolution, BACCF – Brazilian American Chamber of
Commerce of Florida, Justen, Pereira Oliveira & Talamini,
Advogados (Brazil), Gávea Investimentos (Brazil), Vinson &
Elkins LLP (U.S.), Smith International Legal Consultants, PA
(U.S.), Motta, Bicalho & Carvalho, Advogados (Brazil) and
Guilherme Gonçalves & Sacha Reck, Advogados (Brazil).
After a brief introduction by the Brazilian-American Chamber of Commerce Executive Director Roberto Azevedo, Ambassador Luiz Felipe de Seixas Corrêa (General Consul of
Brazil in New York) formally opened the conference. John
Moncure, Director for Latin America at the Financial Times,
and Conference Moderator, welcomed the first panel of distinguished speakers to the podium: Minister Márcio Fortes
de Almeida, President of the Olympic Games Public Authority – APO, and Minister Benjamin Zymler, President of
the Brazilian Federal Court of Audit – TCU, who discussed
the investments and legacy of the 2014 World Cup and the
2016 Olympic Games. Cesar A. Guimarães Pereira, partner
at Justen, Pereira, Oliveira & Talamini moderated the Q&A
session.
Minister Zymler gave an important testimonial about the:
“Knowledge of regulations and of the interpretation given by
the controlling government bodies is critical to any investor.
In this scenario, the event proved to be of utmost importance once it disclosed the understanding of these bodies and
reinforced the idea that one can invest in Brazil with legal
certainty”.
Alécia Paolucci Nogueira Bicalho, partner at Motta, Bicalho & Carvalho, Advogados, moderated the second panel.
The speaker Marçal Justen Filho, founder and senior partner at Justen, Pereira, Oliveira & Talamini, discussed the
legal framework for investments in the transport sector
in Brazil, with a particular focus on the regulatory role of
the government agencies. As one of the most renowned
Brazilian practitioners in this field, Justen Filho gave the
participants a clear view on some of the peculiarities of the
Brazilian legal system with regard to transport services under government regulation. Marcos Pinto, partner at Gávea
Investmentos, offered the audience a business perspective,
addressing the economic and financial characteristics of
investments in Brazilian transport and logistics infrastructure.
Paulo Bernardo Silva, Brazil Communications Minister,
addressed the forum attendees via long-distance video,
offering a compelling presentation on the opportunities and
challenges of infrastructure in Brazil.
A final panel on arbitration in regulated sectors in Brazil
took place immediately prior to a networking luncheon. It
was moderated by Luis Martinez, Vice President of the In-
ternational Center for Dispute Resolution –ICDR, who also
informed the audience about the relevant role of the ICDR
in the solution of conflicts involving Brazilian parties. The
expert panel of speakers included João Otávio de Noronha,
Justice at the Superior Court of Justice – STJ, the Brazilian
court charged with the recognition of foreign arbitral awards, Alden L. Atkins, partner at Vinson & Elkins, and Maurício Gomm Santos, counsel and arbitrator at Smith International Legal Consultants. The arbitration panel generated
intense debate. The variety of views from the panel and the
audience alike offered the participants a thorough analysis
of the Brazilian approach to arbitration in this sector. All
attendees learned from one of the highest ranking judicial
authorities in Brazil that the country is arbitration-friendly
and its courts are ready to recognize and enforce awards
dealing with infrastructure investments.
Editora Fórum’s CEO, Luís Cláudio Ferreira, commented on
his company’s purpose in working together with the Brazilian American Chamber of Commerce in the organization
of this event: “Our goal was to promote debate and provide
legal professionals with an overview and intellectual legal
and economic aspects of investments in Brazil, together
with the necessary information about the adequate contract arrangements in order to provide legal certainty for
these investments. The Brazil Infrastructure Investment
Forum was a success in terms of participation, with a
full house and webcast for a targeted audience of qualified lawyers, American and foreign investors and potential
partners of the Brazilian Public Government. The next edition, scheduled for October of 2012, in New York, will keep
its positive impact and is already considered a traditional
event in Forum’s portfolio”.
