MESSAGE FROM THE BOARD Prezados Acionistas, Dear Shareholders, A Administração da SCGÁS submete à apreciação de Vossas Senhorias o Relatório de Administração e as Demonstrações Financeiras da Companhia, com parecer dos Auditores Independentes e do Conselho Fiscal, referentes ao exercício fiscal findo em 31 de dezembro de 2010. SCGÁS Administration is submitting for your information the Administration Report and the Company Financial Statements, including the Statutory Auditors and Supervisory Board reports referring to the financial year ending December 31, 2010. Em 2010 a SCGÁS apresentou novos recordes de vendas e expandiu a rede de distribuição de gás natural e o número de municípios atendidos, demonstrando o compromisso de seus empregados, administradores e acionistas em ampliar o acesso da sociedade catarinense a essa importante infraestrutura. In 2010 SCGÁS broke new sales records and expanded the natural gas distribution network and the number of municipalities served, which demonstrates the commitment of its employees, administrators and shareholders to extend the Santa Catarina’s society access to such an important infrastructure. Tivemos também a oportunidade de avançar significativamente no aprimoramento das nossas práticas de governança e gestão, aperfeiçoando e implementando novos instrumentos que proporcionam maior acuidade na visão de médio e longo prazo e por consequência maior assertividade nas ações e tomadas de decisão. Os resultados apresentados demonstram o alinhamento das ações da SCGÁS com sua missão de dotar o Estado de Santa Catarina com rede de gasodutos, distribuir e fomentar a utilização de gás, com a visão de estar presente em todas as regiões do Estado com padrão de excelência sob a ótica do cliente. Os bons ventos da economia também contribuíram para a contínua aplicação das nossas diretrizes tarifárias que buscam a previsibilidade e a estabilidade dos preços, bem precioso à garantia da competitividade de nossa indústria, e o desenvolvimento sustentável da atividade produtiva do Estado de Santa Catarina. A seguir são apresentados alguns dos destaques do exercício de 2010, os quais serão detalhados ao longo deste relatório. We also had the opportunity to make significant improvements in our governance and management practices, enhancing and implementing new instruments that provide more precise medium and long term views, and consequently greater assertiveness of actions and decision making. The results presented show the alignment of SCGÁS actions with its mission of providing the State of Santa Catarina with a network of gas pipelines, distribute and promote the use of gas with views of being present in all State regions with an excellence standard under the customer viewpoint. The good winds of the economy also contributed to the continuous application of our guidelines for rates that seek price predictability and stability, a precious asset to ensure the competitiveness of our industry, and the sustainable development of the production activity in the State of Santa Catarina. Below are some highlights of the year 2010 with further details following in this report. 4 DESTAQUES DE 2010 HIGHLIGHTS OF 2010 • Crescimento das Vendas: as vendas médias diárias em 2010 atingiram 1.741 mil m³/dia, ante 1.578 mil m³/dia em 2009, representando 10,3% de aumento, ressaltando-se o crescimento de 12,9% do mercado industrial. • Growth in Sales: Average daily sales in 2010 reached 1,741 thousand m³/day, compared with 1,578 thousand m³/day in 2009, which represent a 10.3% increase, pointing out the growth of 12.9% in the industrial market. • Ampliação da Carteira de Clientes: o número de clientes foi ampliado em 20,9%, passando de 1.645 ao final de 2009 para 1.988 em dezembro de 2010, com destaque para o crescimento de 24,6% no mercado residencial. • Gás Natural Comprimido (GNC): a evolução do mercado registrou aumento nas vendas médias diárias de 0,2% em relação a 2009. Atualmente 17 municípios são atendidos por este modal, do litoral ao oeste catarinense. • Increased Customer Portfolio: the number of customers increased by 20.9%, going from 1,645 in the end of 2009 to 1,988 in December 2010, pointing out the growth of 24.6% in the residential market. • Ampliação da Rede de Distribuição: foram investidos aproximadamente R$ 33,5 milhões, grande parte na construção de 62,1 km de novas redes de distribuição, ampliando para 883 km a extensão total de redes implantadas pela SCGÁS em Santa Catarina. • Compressed Natural Gas (CNG): the market evolution has recorded a daily average sales increase of 0.2% compared to 2009. There are currently 17 municipalities served with this modal, from the coast to western Santa Catarina. • Planejamento Estratégico: em 2010 a SCGÁS concluiu o ciclo de revisão do Planejamento Estratégico e Plano Plurianual de Negócios para o período 2011-2015, que prevê investimentos de R$ 290 milhões em projetos de expansão de redes de distribuição de gás natural no Estado. • Increased Distribution Network: approximately R$ 33.5 million were invested mostly in the construction of 62.1 km of new distribution networks increasing to 883 km the total extension of networks implemented by SCGÁS in Santa Catarina. • SCGÁS entre as maiores distribuidoras do País: os expressivos resultados alcançados ao final de 2010 tornam a SCGÁS a 2ª maior distribuidora de gás canalizado em número de municípios atendidos e fazem de Santa Catarina o 3º Estado com maior rede de distribuição de gás no País, o 3º Estado com maior número de indústrias atendidas com gás natural, além de contar com a 3ª maior rede de postos de GNV do País. • Strategic Planning: in 2010 SCGÁS has completed the Strategic Planning and Multi Year Plan revision cycle for the 2011-2015 period that forecasts investments of R$ 290 million in natural gas distribution network expansion projects in the State. • SCGÁS Among the Major Distributors in the Country: the expressive results attained by the end of 2010 make SCGÁS the 2nd biggest piped gas distributor in number of municipalities served, and turn Santa Catarina into the 3rd state with the largest gas distribution network in the country, the 3rd state with the highest number of industries served with natural gas, besides featuring the 3rd largest network of NGV stations in the country. PERFORMANCE IN HEALTH, SAFETY AND ENVIRONMENT A SCGÁS desenvolve suas atividades de Segurança, Meio Ambiente e Saúde com base em sua Política de SMS. A SCGÁS opera de modo seguro e responsável, respeitando o meio ambiente, o bem-estar e a saúde de seus empregados. Segurança, Meio Ambiente e Saúde são valores que norteiam todas as atividades da empresa. Em 2010, a Companhia deu início à implantação do seu Plano de Desenvolvimento da Gestão de SMS que contempla os seguintes processos de responsabilidade: Comercialização, Comunicação, Engenharia, Jurídico, Liderança, Marketing, Operação e Manutenção, Recursos Humanos, Segurança e Saúde do Trabalhador e Aquisição de Bens e Serviços. Em 2010 também houve continuidade nas ações para auditar a aplicação das Diretrizes e Instruções de Segurança da Companhia e aumentar o registro e a análise de ocorrências anormais, com especial atenção à prevenção de acidentes, quase-acidentes e falhas. SCGÁS develops its activities in Health, Safety and Environment based on its HSE Policy. SCGÁS operates in a safe, responsible way, respecting the environment, the well-being and health of its employees. Health, Safety and Environment are values that guide all the Company’s activities. In 2010 the Company set off with the implementation of its HSE Management Development Plan that includes the following responsibility processes: Trading, Communication, Engineering, Legal, Leadership, Marketing, Operation and Maintenance, Human Resources, Worker’s Health and Safety, and Goods and Services Acquisition. 2010 also saw the continuity in actions to audit the application of the Company’s Health and Safety Guidelines and Instructions and increase the recording and analysis of abnormal occurrences, with special attention to preventing accidents, near accidents and faults. 7 4. COMMERCIAL PERFORMANCE O ano de 2010 destacou-se pelo aumento significativo no volume total vendido, com destaque para o crescimento nos segmentos industrial e comercial, de 12,9% e 23,2% respectivamente sobre o ano anterior, além do aumento no número de clientes residenciais. Também se destaca o crescimento nas vendas do mercado automotivo, que superaram a marca de 360 mil m³/dia. The year of 2010 was outstanding for the significant increase in total volume sold, pointing out the growth in industrial and commercial segments of 12.9% and 23.2% respectively over the previous year, as well as the increase in the number of residential customers. Com volume médio de vendas de 1.368 mil m³/dia, o segmento industrial apresentou crescimento de 12,9% em relação a 2009. Contribuiu para este resultado a incorporação de 17 novos clientes em setores diversos. Destacam-se como principais setores o Cerâmico, Metal Mecânico, Têxtil e Vidros e Cristais. INDUSTRIAL (mil m3/dia) INDUSTRIAL (thousand m³/day) 1.600 1.368 1.400 1.199 The industrial segment share in SCGÁS sales increased from 76.8% in 2009 to 78.5% in 2010. With an average sales volume of 1,368 thousand m³/day, the industrial segment showed a growth of 12.9% in relation to 2009. The incorporation of 17 new customers in several sectors contributed to this result. The major sectors that stand out are the Ceramic, Metal Mechanic, Textile, and Glass and Crystal. The automotive market (NGV and CNG), which represented 20.7% of company sales, saw and expansion in the number of stations and sales volume in relation to 2009. By the end of 2010, Santa Catarina featured 131 stations in 46 municipalities to serve 88,302 vehicles fitted to use natural gas, taking sales in that segment to surpass for the first time the 360 thousand m³/day milestone. 1.212 1.200 From November 08 to 27, 2010, SCGÁS developed in 19 cities in Santa Catarina a communication campaign to promote the Automotive Natural Gas product. The motto of the campaign was “Why go only so far when you can go further for the same price? NGV: your car powered by economy”. O mercado automotivo (GNV e GNC), que representou 20,7% das vendas da empresa, teve expansão no número de postos e no volume de vendas em relação a 2009. No final do ano de 2010, Santa Catarina contava com 131 postos em 46 municípios para atendimento a 88.302 veículos com instalação para uso de gás natural, levando as vendas neste segmento a superarem, pela primeira vez, a marca de 360 mil m³/dia. The campaign with total investment of R$ 300,000.00 resulted in the months of November and December recording the highest sales volume of NGV in 2010, about 4% higher than the average in the period of the rest of the year. Furthermore, there was a significant increase in the number of NGV kit fittings. In December 2010, 440 new vehicles started running on NGV against an average of 350 new monthly fittings seen during the year, denoting a growth of 25%. Entre os dias 08 e 27 de novembro de 2010, a SCGÁS desenvolveu em 19 cidades catarinenses uma campanha de comunicação para promoção do produto Gás Natural Veicular. A campanha teve por mote “Por que ir ali se você pode ir até lá pelo mesmo valor? GNV: seu carro movido à economia”. As mídias empregadas na comunicação foram outdoor, jornal, rádio, adesivagem dos veículos da companhia e material de apoio à venda e esclarecimento ao consumidor, como flyers, banners e cartões de economia. A realização da campanha, cujo investimento total foi de R$ 300.000,00, permitiu que nos meses de novembro e dezembro de 2010 fossem registrados os maiores volumes de venda de GNV de 2010, cerca de 4% superiores à média do período restante do ano. Ademais, observou-se também um sensível acréscimo no número de instalação de kits de GNV. Em dezembro de 2010 mais 440 novos veículos passaram a utilizar GNV, contra uma média de 350 novas instalações mensais observada ao longo do ano, denotando um crescimento de 25%. 11 GNC VEICULAR GNV VEHICLE CNG The commercial market stands out for serving 34 new clients in 2010, a growth of 21% in relation to 2009 with applications in different sectors (bakeries, laundries, restaurants, hospitals, hotels, motels, among others). By the end of the year the segment had 197 customers representing 0.7% of SCGÁS average sales volume. No mercado comercial, destaca-se o atendimento a 34 novos clientes em 2010, crescimento de 21% em relação a 2009, com aplicação em diferentes setores (panificadoras, lavanderias, restaurantes, hospitais, hotéis, motéis, entre outros). Ao final do ano o segmento conta com 197 clientes e representa 0,7% do volume médio de vendas da SCGÁS. O mercado residencial novamente foi destaque no número de unidades interligadas, passando de 1.177 em 2009 para 1.466 em 2010, totalizando 36 condomínios residenciais nos municípios de Joinville, Florianópolis e Criciúma. A SCGÁS desenvolveu em Criciúma uma campanha de comunicação com o objetivo de subsidiar a ação comercial junto aos clientes do mercado residencial e também de posicionar, na percepção do mercado local, o produto gás natural residencial como opção premium para atendimento às necessidades residenciais de gás combustível. As mídias empregadas na comunicação foram outdoor, jornal, rádio e material de apoio à venda, com um investimento total de R$ 73.901,80. Ao final do período de impacto da campanha a SCGÁS contava com 2.675 unidades residenciais contratadas, número quase 20% superior à meta integral do Projeto Criciúma Residencial. The campaign ran between November 8 and December 5, 2010 with the motto “residential natural gas: your life deserves to evolve!”. The media used in the communication were billboards, newspaper, radio and sales support material with a total investment of R$ 73,901.80. By the end of the impact period of the campaign, SCGÁS had 2,675 residential units contracted, a number almost 20% above the total goal for the Residential Criciúma Project. 5. INVESTIMENTOS 5. Os levantamentos realizados em 2010 obtiveram dados de consumo de 865 estabelecimentos comerciais e 1.462 edifícios (33.395 unidades residenciais). Ao final de 2010 a carteira de projetos da Companhia superou a marca de 53 projetos, que representam investimentos da ordem de R$ 930 milhões na implantação de 1.400 km de novas redes de distribuição para atendimento aos mais diversos segmentos e aplicações. In addition to the Multi Year Business Plan, SCGÁS maintained and updated its project portfolio by making market surveys in another 15 municipalities with the objective of planning future extensions to the distribution network. The surveys carried out in 2010 obtained consumption data from 865 commercial establishments and 1,462 buildings (33,395 residential units). SUPORTE TÉCNICO, PESQUISA E DESENVOLVIMENTO TECNOLÓGICO 6. TECHNICAL SUPPORT, TECHNOLOGICAL RESEARCH AND DEVELOPMENT A SCGÁS realiza diversas ações de Suporte Técnico atendendo às demandas de seus clientes que contemplam a elaboração de estudos de aplicação, laudos técnicos, viabilidade de utilização, medidas de eficiência e auditorias energéticas nos diferentes processos produtivos. Em 2010 foi ultrapassada a marca de 600 ações de suporte técnico concluídas, que resultaram em um incremento superior a 7.000 m³/dia nas vendas da Companhia. Em 2010 a SCGÁS investiu R$ 250 mil em projetos de P&DT, além de captar mais R$ 140 mil em recursos externos, fruto da parceria com o SENAI-SC para pesquisas na área de Biogás. Dentre os resultados alcançados destacam-se ainda: • a conclusão dos dois primeiros projetos de P&DT voltados ao setor têxtil, resultando na melhoria da eficiência energética através de equipamentos dotados de sistemas de queima direta de gás natural que contribuíram para aumentar o número de clientes contratados pela Companhia neste setor; • a conclusão do projeto de aquecimento de panelas de fundição com uso de gás natural que resultou em ganhos de eficiência com grande potencial de aplicação no setor metal-mecânico; • a conclusão do projeto de produção contínua de telhas cerâmicas em atmosfera redutora com uso de gás natural que possibilitou a redução do tempo de produção de 105 h para 17 h (redução de mais de 500%), redução do consumo energético de 1.200 kcal/kg para 500 kcal/kg (redução de mais de 140%) e redução das emissões de CO2 de 177,12 kg para 18,57 kg por GJ de energia térmica utilizada (redução de mais de 800%). A SCGÁS busca disseminar uma cultura de uso e de novas aplicações para o gás natural, destacando-se entre as distribuidoras de gás brasileiras com maior número de trabalhos técnicos aprovados, publicados e apresentados em eventos nacionais e internacionais, dentre os quais, a RIO OIL & GAS 2010 EXPO AND CONFERENCE, o CINTEC FUNDIÇÃO 2010 e a WORLD GAS CONFERENCE 2009. A SCGÁS foi a vencedora do II Prêmio PETROBRAS de Reconhecimento às Distribuidoras de Gás Natural – TOP GÁS na categoria Responsabilidade Ambiental, com o projeto Cerâmica Vermelha: Um Novo Horizonte, recebendo ainda duas menções honrosas pelos trabalhos nas categorias Desenvolvimento de Mercado, com o projeto Desenvolvimento do mercado automotivo em regiões distantes da rede de distribuição de gás natural e Eficiência Energética, com o projeto Substituição de energia elétrica por gás natural na fabricação de tubos rígidos, concorrendo com outras 18 distribuidoras que apresentaram 62 projetos. Such projects are executed in partnerships with institutes of reference in teaching and research in Santa Catarina, among which we name the Federal University of Santa Catarina - UFSC, State University of Santa Catarina – UDESC, Educational Society of Santa Catarina – SOCIESC, Maximiliano Gaidzinski Institute – IMG, Blumenau Regional University Foundation – FURB and SENAI-SC In 2010, SCGÁS invested R$ 250 thousand in TR&D projects, as well as receiving another R$ 140 thousand in external resources, result of the partnership with SENAI-SC for research in the Biogas area. Among the results attained, we also mention: • the two first TR&D projects aimed at the textile sector were finished, resulting in improved energy efficiency through pieces of equipment fitted with direct natural gas burning that contributed to increase the number of customers that engaged the Company in that sector; • the project of heating foundry pots using natural gas was finished, and resulted in efficiency gains with great potential for application in the metal mechanic sector; • the project for continuous production of ceramic tiles in a reduction atmosphere using natural gas was finished, and enabled the decrease in production time from 105 hrs to 17 hrs (reduction of over 500%), reducing the energy consumption from 1,200 kcal/kg to 500 kcal/kg (reduction of over 140%), and reduction in CO2 emissions from 177.12 kg to 18.57 kg per GJ of thermal energy used (reduction of over 800%). SCGÁS seeks to disseminate a culture of use of and new applications for natural gas, standing out among the Brazilian gas distributors with the highest number of approved technical papers, published and presented in national and international events such as the RIO OIL & GAS 2010 EXPO AND CONFERENCE, the CINTEC FUNDIÇÃO 2010 and the WORLD GAS CONFERENCE 2009. SCGÁS won the II PETROBRAS Award for Acknowledgement of Natural Gas Distributors – TOP GAS in the category of Environmental Responsibility with the project Cerâmica Vermelha (Red Ceramic): Um Novo Horizonte (A New Horizon), also receiving mention/award for the work in the category of Market Development with the project Desenvolvimento do mercado automotivo em regiões distantes da rede de distribuição de gás natural (Development of automotive market in remote regions from the natural gas distribution network) and Energy Efficiency with the project Substituição de energia elétrica por gás natural na fabricação de tubos rígidos (Replacing electric energy for natural gas in the manufacture of rigid pipes), competing with another 18 distributors that presented 62 projects. REGULATION Em 18 de fevereiro de 2010 foi publicada a Portaria n.º 003 da Agência Reguladora de Serviços Públicos de Santa Catarina – AGESC, que estabelece os requisitos relativos à garantia da qualidade na prestação do serviço público de distribuição de gás canalizado. On February 18, 2010 Directive nr. 003 was published by the Agência Reguladora de Serviços Públicos de Santa Catarina – AGESC (Santa Catarina Public Services Regulatory Agency) establishing the requirements relative to quality assurance in the provision of public piped gas service. Tal portaria estabeleceu uma série de indicadores com suas respectivas metas, além de obrigações acessórias, através dos quais a AGESC passou a acompanhar o desempenho da SCGÁS no cumprimento do seu Contrato de Concessão. The directive established several indicators and their respective goals, as well as accessory duties through which AGESC began to follow up on SCGÁS performance in complying with its Concession Contract. HUMAN RESOURCES MANAGEMENT Em 2010 a SCGÁS deu continuidade ao processo de contratação de pessoas, visando consolidar seu quadro de pessoal, e também ao seu programa de estágios, contribuindo para a formação acadêmica e profissional de jovens nas mais diversas áreas da Companhia, além do Programa Menor Aprendiz, que possibilita uma excelente oportunidade de acesso ao primeiro emprego. In 2010, SCGÁS continued with the hiring process aiming at consolidating its staff, as well as its trainee program by contributing to the academic and professional development of youngsters in a wide range of Company areas, in addition to the Young Learner Program, which provides an excellent opportunity of access to the first job. Em 2010 a SCGÁS também proporcionou, através do seu Programa de Treinamento e Desenvolvimento, mais de nove mil horas de Capacitação a todo o quadro de empregados. By December/2010 the Plan already had 90% of employees participating. The Company also drove an ambitious plan of action to streamline its Human Resources Management System, whose technology replacement involved over one thousand hours of consultancy with great operational and functional benefits, among which we mention: • Integration of the HR sector activities with those in other departments, with decentralization of information to managers and employees; • Streamlining the HR sector operation with productivity gains and reduction in administration costs; • Friendly interface. • Interface amigável. 19 9. RESPONSABILIDADE SOCIOAMBIENTAL 9. SOCIO-ENVIRONMENTAL RESPONSIBILITY A SCGÁS, ao longo de sua história, vem realizando ações de responsabilidade social junto às comunidades onde atua, bem como ações junto ao seu público interno. Com o aumento da participação da empresa no mercado, aumenta também a responsabilidade com a sociedade e a expectativa da participação da SCGÁS em ações desta natureza. Throughout its history, SCGÁS has been taking social responsibility actions together with the communities where it operates, as well as actions with its internal public. With the increase in the company’s market share, the responsibility before society also increases and the expectations of SCGÁS participation in actions of that nature. Desta forma, a empresa implantou em 2010 uma Política de Responsabilidade Socioambiental para ampliar a atuação social e ambiental da Companhia e assegurar o alinhamento das ações com a Missão,Visão e Valores da SCGÁS. A atuação em responsabilidade social da SCGÁS visa buscar de forma contínua as seguintes motivações: potencializar sua contribuição às comunidades onde atua, somando significativamente aos já positivos efeitos da utilização do gás natural, e buscar a atuação nas diversas regiões do Estado. Dando continuidade às ações de apoio a projetos culturais, esportivos e educativos, a SCGÁS lançou um edital de seleção pública para apoio a projetos através da Lei Federal de Incentivo à Cultura (Lei Rouanet), Lei Federal de Incentivo ao Esporte e dos Fundos Municipais da Infância e Adolescência (FIAs). Através das leis de incentivos fiscais, foi destinado em 2010 o valor de R$ 891.104,00 aos seguintes projetos socioculturais: Projeto: Gira Brasil - Circuito SCGÁS de cinema nas comunidades Exibição gratuita de filmes em mostra itinerante no interior de um caminhão, visando difundir a cultura por meio da exibição de filmes nacionais que transmitam conhecimento através do entendimento em questões ambientais, sociais e de saúde. Turnê realizada em 21 cidades catarinenses. Projeto: Peça teatral “Limpando, cuidando e perfumando a natureza” Apresentações teatrais sobre conscientização ambiental e oficinas de confecção de brinquedos a partir de materiais recicláveis. Apresentações realizadas em 12 cidades catarinenses. Projeto: 6º FEMUSC – Festival de Música de Santa Catarina O FEMUSC é o maior festival de música erudita do País. Reúne, em 17 dias, em Jaraguá do Sul, músicos do mundo inteiro para estudar música e fazer apresentações nos teatros e pelas comunidades. O festival realizou mais de 250 espetáculos na região, sendo 200 sociais. Um quarteto de cordas veio a Florianópolis e fez uma bela apresentação no Mercado Público. 20 This way, the company implemented in 2010 a Socio-Environmental Responsibility Policy to extend social and environmental activities by the Company and assure alignment of these activities with the Mission, Vision and Values at SCGÁS. The activities related to social responsibility by SCGÁS has the objective to seek the following motivations on a continuous basis: make its contribution possible to the communities where it operates, significantly adding to the already positive effects of using natural gas and seeking the operation in the several state regions. Providing continuity to the activities of supporting cultural, sport and educational projects, SCGÁS released a public selection to support projects through the Federal Culture Incentive Law (Rouanet Law), Federal Sport Incentive Law and the Childhood and Adolescence Municipal Funds. Through the fiscal incentive laws, 2010 saw an amount of R$ 891,104.00 being targeted to the socio-cultural projects below: Project: Gira Brasil - SCGÁS cinema circuit at the communities Free film showed through a travelling exhibition inside a truck, aimed at disseminating culture by means of showing national films that convey knowledge through an understanding of environmental, social and health issues. The tour facilities visited 21 cities in Santa Catarina. OPERATIONAL CONTEXT A Companhia de Gás de Santa Catarina – SCGÁS, sociedade de economia mista criada em 25 de fevereiro de 1994 através da Lei nº 8.999/93, possui como objeto a distribuição de gás natural canalizado, com exclusividade, a todo o Estado de Santa Catarina, conforme estabelece a Lei n.º 9.493/94, que promulga a concessão deste serviço de acordo com o parágrafo 2º do artigo 25 da Constituição Federal. SUMÁRIO DAS PRÁTICAS CONTÁBEIS MODIFICADAS PELOS CPCS EM VIGOR E DEMONSTRAÇÃO DOS EFEITOS NO RESULTADO E NO PATRIMÔNIO LÍQUIDO a. SUMMARY OF ACCOUNTING PRACTICES CHANGED BY THE VALID CPCS AND STATEMENTS OF THE EFFECTS ON THE RESULT AND NET EQUITY a) ICPC 01 – Todos os bens da SCGÁS, de acordo com o contrato de concessão, serão reversíveis ao poder concedente no término do mesmo. Desta forma, de acordo com as orientações desta interpretação técnica, na apresentação das Demonstrações Financeiras relativas ao exercício findo de 2010, todo o ativo imobilizado foi reclassificado para o Intangível. Todas as taxas de amortização ficaram inalteradas, ou seja, mantiveram-se as mesmas praticadas pela depreciação, não causando impacto no resultado do exercício. b) CPC 01 – A Companhia avalia, periodicamente, se há evidência objetiva de que algum ativo esteja contabilizado acima do seu valor recuperável. O valor mais relavante é a Rede de Distribuição de Gás Natural – RDGN. A SCGÁS vem mantendo níveis de investimentos em expansão de forma que não há necessidade de realizar o reconhecimento de possíveis perdas de valor. c) CPC 17 – Tendo em vista a adoção dos Pronunciamentos do CPC pela Companhia, e de acordo com o pronunciamento de nº 17 do Comitê de Pronunciamentos Contábeis – CPC (ver notas explicativas), a Companhia registrou receita de construção no valor de R$ 31,6 milhões, tendo como contrapartida custos de construção no mesmo valor. Desta forma não apresentou impacto no resultado da SCGÁS. d) CPC 32 – A Companhia passou a registrar os tributos diferidos sobre provisões de contigências passivas e provisões sobre aluguel de faixa de domínio. Tal procedimento era controlado apenas sob a ótica fiscal e não contábil. De acordo com a prática contábil do CPC 32 – Tributos sobre o Lucro ocorreu um ajuste positivo no Patrimônio Líquido no montante de R$ 845.159,51 (Oitocentos e quarenta e cinco mil, cento e cinquenta e nove reais e cinquenta e um centavos) na conta de Reserva de Retenção de Lucros e é decorrente de períodos anteriores. a) ICPC 01 – All property belonging to SCGÁS, according to the concession contract, are reversible to the conceding power by the end of the contract. This way, according to the instructions from this technical interpretation, for the presentation of the Financial Statements relative to the financial year ending in 2010, all the fixed assets were reclassified to the Intangible. All amortization rates remained unchanged, that is, were maintained the same as those in practice for depreciation and had no impact on the financial year result. b) CPC 01 – The Company periodically assesses whether there is objective evidence that any asset is accounted for above its recoverable value. The most relevant value is the Natural Gas Distribution Network – RDGN. SCGÁS has been maintaining its investment levels in expansion so that there is no need to carry out the acknowledgement of any possible loss in value. c) CPC 17 – In view of the adoption of the CPC Pronouncements by the Company, and according to pronouncement nr. 17 by the Accounting Pronouncement Committee – CPC (see Explanatory Notes), the Company recorded a construction income to the value of R$ 31.6 million, with the counterpart being construction costs of the same value. This way there was no impact on the SCGÁS result. d) CPC 32 – The Company started registering the deferred taxes on provisions for liability contingencies and provisions over the rent of right-of-way areas. Such procedure was controlled only under the fiscal, not accounting, viewpoint. Em 2000, a COPAT – Comissão Permanente de Assuntos Tributários da Secretaria da Fazenda do Estado de Santa Catarina se manifestou desfavorável à utilização desses créditos. A Companhia entrou com ação declaratória de reconhecimento do direito de utilização do crédito do ICMS sobre ativo fixo junto à Secretaria da Fazenda do Estado de Santa Catarina, que foi julgada procedente em primeira instância e está tramitando no Tribunal de Justiça de Santa Catarina. Há possibilidade de recursos ao Supremo Tribunal Federal – STF. Caso não seja possível a recuperação dos referidos créditos, os valores envolvidos serão incorporados ao ativo da Companhia. The taxes to recover presented in the long term assets correspond to ICMS credits originating from the acquisition of materials and equipment for the construction of natural gas distribution building work recorded based on the understanding of legal advisers as to the success of recovering those taxes, as well as the values originated in lieu of IRPJ/CSLL to recover due to the adoption of changes forecast in Law 11.638-07 and Law 11.941-09. In 2000, COPAT – Permanent Committee for Tax Issues at the State of Santa Catarina Treasury Office manifested against the use of those credits. The Company filed a declaratory action of acknowledgment of the right to use the credit of ICMS over fixed assets at the State of Santa Catarina Treasury, which was considered reasonable in first instance and is being at the Santa Catarina Courts of Justice. There is the possibility of resorting to the Federal High Court – STF. In case it is not possible to recover such credits, the values involved will be incorporated in the Company assets. 7. ADVANCE PAYMENTS TO SUPPLIERS Refers to the difference between the volumes of gas acquired and effectively distributed according to the Supply Contract Amendment dated February 02, 2007. SCGÁS on December 31, 2010 has the amount of R$ 16,869,926 that will be compensated within up to 10 years. The forecast for the start of compensation, according to internal studies, will occur from 2013 on. 7.
