RESOLUTIONS TAKEN UNANIMOUSLY:
In accordance with Articles 15, 22 and 24 of the Bylaws, the members decided thus compose the
executive management of the Company for the annual term which runs until the investiture of the
members to be elected in 2015:

at Avenida Paulista, 1938 terrace floor; and
4) manteined designated FLAVIO MARASSI DONATELLI as Investor Relations Director.
The directors have declared that they are not involved in any of the crimes provided for in Article 147
of Law 6.404/76, as they are not prevented to positions in management, getting relieved to give any
guarantee or warranty and shall be vested in their respective positions upon signing of the terms of
office in a proper book.
It was recorded the passing away of Flávio Dias Soares, Director of Development and Marketing of
Deca Business Unit occurred on 13/03/2014. Synonymous with dedication, competence, integrity,
commitment and courage, Flavio worked at the Company for 29 years in Corporate, Wood and Deca
areas in Brazil and Argentina, having joined the Duratex age 20, as an intern.
CLOSURE: Nothing more to treat and anyone wishing to manifest, the work was ended,
drawing up these minutes, which were read, approved and signed by all. São Paulo (SP), April
