DATE, TIME AND PLACE: On May 8, 2014, at 9:00 am., at Av. Paulista, 1938, 5th floor, in
the city and state of São Paulo.

the most members of the Fiscal Council.
RESOLUTIONS ADOPTED BY UNANIMOUS VOTE:
1. Invested in their positions as effective and alternates members of the Fiscal Council, as
identified below, elected by the Annual and Extraordinary General Meeting of April 28,
2014, all with an annual term of office with duration until April 2015:

FLAVIO CÉSAR MAIA LUZ, domiciled in the city and state of São Paulo at Av. Brig. Faria
Lima, 3729, 5th floor;
HELENA KERR DO AMARAL, domiciled in the city and state of Rio de Janeiro at Rua do
Ouvidor, 98, 6th floor;
JOSÉ CARLOS DE BRITO E CUNHA, domiciled in the city and state of Rio de Janeiro at
Rua Professor Manuel Ferreira, 115 – apt. 504;
PAULO RICARDO MORAES AMARAL, domiciled in the city and state of São Paulo at
Rua Pamplona, 1465 - 12th floor, Suite 121; and
TEREZA CRISTINA GROSSI TOGNI, domiciled in the city and state of São Paulo at Av.
Paulista, 1938 – 19th floor.

1.1. On the occasion, the Councilors declared that they comply with the conditions of
eligibility pursuant to Article 162 of Law 6.404/76.
2. Approved the proposal to designate Councilor Tereza Cristina Grossi Togni as Chairman
of the Fiscal Council and the appointment of Councilor Paulo Ricardo Moraes Amaral to
replace her in the functions of Chairman in her absence or incapacity.
3. Recorded the thanks of Councilor Tereza Cristina Grossi Togni for the vote of confidence
of her fellow councilors, putting herself at the disposal of her peers for the performing of
the duties of the Fiscal Council.
CONCLUSION: There being no further matters on the agenda and no members wishing to
raise any further matters, the meeting was declared closed and these minutes were drafted,
