MINUTES OF THE BOARD OF DIRECTORS’ MEETING
HELD ON DECEMBER 22, 2008
Date, time and venue: On December 22, 2008 at 15:00 p.m. at the Company’s
head offices located at Alameda Maria Tereza, 2000, sala 06, bairro Dois Córregos,
cep 13278-181, in the city of Valinhos, São Paulo state.
Call Notice and Attendance: The call notice was waived given the presence of all
members of the Company’s Board of Directors.

Agenda:
(i)
To deliberate on a Loan Agreement to be entered into by the Company and its
associated company, Escola de Profissões S/A, in the total amount of R$
4,500,000.00 (four million and five hundred thousand Reais);
(ii) To deliberate on the merger, and consequent extinction of the following
subsidiaries: SOCIEDADE EDUCACIONAL CAXIAS DO SUL LTDA., SOCIEDADE
EDUCACIONAL CENTRO AMÉRICA LTDA., CENTRO DE ENSINO SUPERIOR DE
RONDONÓPOLIS S/A LTDA, SOCIEDADE BRASILEIRA DE ENSINO SUPERIOR
LTDA., SBCEC – SOCIEDADE BRASIL CENTRAL DE EDUCAÇÃO E CULTURA S/S
LTDA., SOESC – SOCIEDADE EDUCACIONAL SUL SANCAETANENSE S.S. LTDA,
CENTRO DE ENSINO UNIFICADO DE TAGUATINGA LTDA., PIONEIRA
EDUCACIONAL LTDA., INSTITUIÇÃO DE ENSINO DE SERTAOZINHO LTDA.,

09.343.389/0001-42, and ANHANGUERA EDUCAÇÃO PROFISSIONAL LTDA,
which will be merged into ESCOLA DE PROFISSÕES S/A., with headquarters at Rua
Dr. Alceu de campos Rodrigues nº 46, 9º andar, sala 97, Itaim-Bibi, in the city and
state of São Paulo, inscribed in the corporate roll of taxpayers (CNPJ/MF) under no.
02.016.659/0001-61, all the above-mentioned companies will be merged into
ANHANGUERA EDUCACIONAL S.A. “AESA”, a corporation constituted in
accordance with the laws of the Federative Republic of Brazil, with headquarters at
Alameda Maria Tereza, 2000, sala 01, Bairro Dois Córregos, in the city of Valinhos,
state of São Paulo, inscribed in the corporate roll of taxpayers (CNPJ/MF) under no.
05.808.792/0001-49.
Unanimous Resolutions:
(i) Pursuant to Article 10, Paragraph 6, Item (xi) of the Company’s Bylaws, the
members of the Board of Directors approved the signature of the Loan Agreement to
be entered into by the Company and its associated company, Escola de Profissões
S/A, in the total amount of R$ 4,500,000.00 (four million and five hundred
thousand reais). The associated Company will repay the total amount by January 1,
2009, with interest, pursuant to the terms of the Agreement.
(ii)
Pursuant to Article 10, Paragraph 6, item (vii) of the Company's Bylaws, the
members of the Company's Board of Directors unanimously approved the merger and
consequent extinction of the following subsidiaries: SOCIEDADE EDUCACIONAL
CAXIAS DO SUL LTDA., a limited-liability company, with headquarters at Avenida
Julio de Castilhos, n.º 2.030, sala 401, 4º andar, Centro, CEP 95010-002, in the city
of Caxias do Sul, state of Rio Grande do Sul, inscribed in the corporate roll of
taxpayers (CNPJ/MF) under no. 07.607.404/0001-97; SOCIEDADE EDUCACIONAL
CENTRO AMÉRICA LTDA., a limited-liability company, with headquarters at Rua I,
n° 107, in the city of Cuiabá, state of Mato Grosso, inscribed in the corporate roll of
taxpayers (CNPJ/MF) under number 05.859.847/0001-40; CENTRO DE ENSINO
SUPERIOR DE RONDONÓPOLIS S/A LTDA, a limited liability company, with
headquarters at Av. Ari Coelho, 829, Bairro Cidade Salmem, CEP 78705-050, in the
city of de Rondonópolis, state of Mato Grosso, in the corporate roll of taxpayers
(CNPJ/MF) under number 00.177.451/0001-07; SOCIEDADE BRASILEIRA DE

The Board of Directors authorized the Company's Executive Board to undertake any
and all acts necessary to effectively implement the resolutions approved herein.

Closure: There being no further matters on the agenda, the meeting was adjourned
for the drafting of these minutes in summary format on this date. After the reopening
of proceedings, the minutes were read, approved and signed by all those present.
