Belo Horizonte, June 25, 2013 — MRV Engenharia e Participações S.A. (BM&FBovespa: MRVE3 - ADR
OTCQX: MRVNY) (“MRV”), in accordance with the terms of the Brazilian Securities Committee (“CVM”)
Instruction - CVM No 358, of January 3rd, 2002, as altered, hereby, in continuity to the Material Fact
released on May 19, 2013, with respect to the purchase of 36,945,672 common shares from LOG
Commercial Properties e Participações S.A. (“LOG”) by its current shareholders and by FIP Multisetorial
Plus (“FIP MPlus”), managed by Banco Bradesco BBI (“Bradesco BBI”) (“Operation”), the Operation was
approved, without restrictions, by the Administrative Council of Economic Defense – CADE, as published
in the Diário Oficial da União on this date.
LOG also informs that all conditions precedent in the Investment Agreement were satisfied.
