regarding Item Four on the Agenda of the General Meeting of Shareholders of
Espírito Santo Saúde – SGPS. S.A.

(the “Company”)
Convening on 23 May 2014 at 11:00am
Whereas:
(a)
on 23 January 2014 the Chairman of the Company’s Board of Directors received
a letter of resignation from André Cardoso Mosqueira do Amaral, voting member
on the Board of Directors and, on that same day, the Board of Directors
appointed Pedro Guilherme Beauvillain de Brito e Cunha by co-optation,
(b)
under the terms of article 393(4) of the Companies Act, the co-optation of
Directors must be submitted for confirmation at the following general meeting.
the Espírito Santo Saúde – SGPS. S.A. Board of Directors hereby proposes that the
General Meeting confirm the appointment by co-optation of Pedro Guilherme
Beauvillain de Brito e Cunha to the position of voting member on the Company’s Board
of Directors.

Pedro Guilherme Beauvillain de Brito e Cunha
Pedro Guilherme Beauvillain de Brito e Cunha was appointed as a member of the
Company’s Board of Directors for the first time in 2000.
Pedro Guilherme Beauvillain de Brito e Cunha has a Higher National Diploma in
management (business studies) from the College for Distributive Trades (London).
Pedro Guilherme Beauvillain de Brito e Cunha’s professional experience includes a
period at Lloyds (1979), as a broker for Sedgwick International (United Kingdom) and
at Thilly & Rittweger (Brussels, Belgium) in the non-maritime group (1980) as head
over SMEs. He was also director at Sedgwick James Europe Group (United Kingdom)
and Sedgwick Española de Resseguros and founding member of Sedgwick James
Group in Portugal and of Angaros, Lda. (1981 to 1989).
He is currently also Chairman of the Executive Committee of the Tranquilidade
Insurance Company, a position to which he was named for the first time in 2001. He is
also chairman or a member of the board of directors for various companies, specifically
Espírito Santo Companhia de Seguros, S.A., Advance – Gestão de Serviços de Saúde,
S.A., Espírito Santo Financial Group, S.A., BES Seguros, BES Vida, Seguros Logo,
S.A., T-Vida – Companhia de Seguros, S.A., Europ Assistance - Companhia
Portuguesa de Seguros de Assistência, S.A., Europ Assistance Brasil, Pastor Vida,
Espírito Santo Investment Bank, among others.
Over the last five years, he has performed duties as director or chair of various
companies outside the Group, as well as for Espírito Santo – Unidades de Saúde e de
Apoio à Terceira Idade, S.A..
