Notice to the Market

In accordance with Official Letter CVM/SGE/001/03 of January 22, 2003, and
the caput of Article 12 of CVM Instruction 358 of January 3, 2002, Transmissora
Aliança de Energia Elétrica S.A. (the new name of Terna Participações S.A.
approved by the Extraordinary Shareholders’ Meeting of November 4, 2009)
(“Company”) (Bovespa: TRNA11) hereby announces that, on November 23,
2009, it received a communication from BNY MELLON SERVIÇOS
FINANCEIROS DISTRIBUIDORA DE TÍTULOS E VALORES MOBILIÁRIOS
S.A., an institution headquartered at Av. Presidente Wilson nº 231, 11º andar,
13º e 17º andares (parte), in the city and state Rio de Janeiro, inscribed in the
corporate roll of taxpayers' (CNPJ/MF) under no. 02.201.501/0001-61, stating
that the investment funds and non-resident investor managed by JGP GESTÃO
DE RECURSOS LTDA. and/or JGP GESTÃO PATRIMONIAL LTDA.
(“Investors”), and managed and/or legally represented by BNY MELLON
SERVIÇOS FINANCEIROS DISTRIBUIDORA DE TÍTULOS E VALORES
MOBILIÁRIOS S.A., have acquired additional preferred shares issued by the
Company and now hold a total of 10,513,400 (ten million, five hundred and
thirteen thousand and four hundred) preferred Company shares, or 5,256,700
(five million, two hundred and fifty-six thousand and seven hundred) share
deposit certificates (Units), equivalent to 17.53% (seventeen point five three
percent) of the Company’s preferred capital.
According to the investor, the acquisitions are not intended to alter the
Company’s ownership structure or management.
