NOTICE TO THE MARKET
São Paulo, Brazil, October 29, 2009. Given the recent press articles, we would like to
announce to the market that Grupo Pão de Açúcar has entered into a 20-year
management outsourcing agreement with Rede Duque, through which CBD will
manage Rede Duque’s 35 gas stations and 24 convenience stores in the state of São
Paulo. In return, the Company will receive a percentage of the profits.
The agreement is in accordance with the Group’s strategy of expanding its gas station
operations in markets where it is already present.
The transaction is still subject to approval by the Company’s shareholders.
