MINUTES OF THE BOARD OF DIRECTORS MEETING HELD ON JULY 13, 2015

ATTENDANCE:
Sasson Dayan - Chairman of the Board of Directors; Morris Dayan; Carlos Moche Dayan;
Rony Dayan; Gustavo Henrique de Barroso Franco; Peter Michael Yu, with the members
participating via teleconference. Also participating by teleconference was Dr. Luiz
Leonardo Cantidiano, as legal adviser to the Board of Directors.
CALL:
The Chairman of the Board of Directors, Mr. Sasson Dayan, called the meeting on July 8,
2015 through electronic mail and registered letter sent to the other members of the Board
of Directors, in accordance with Article 14 of the Company's Bylaws.
PRESIDING:
Chairman: Sasson Dayan.

AGENDA:
Discuss and decide on: rectification, in relation to item (ii) of the resolution of the Meeting
of the Board of Directors held on July 6, 2015 ("Meeting"), regarding the date of the
Company's extraordinary shareholders meeting to "July 24, 2015 at 10:00 a.m." instead of
"July 22, 2015," and ratification of the Meeting's other resolutions, as well as acts practiced
by the Company related to the convening of aforementioned extraordinary shareholders
meeting.
RESOLUTIONS:
After analyzing and discussing the matters on the agenda, the majority of the members of
the Board of Directors, with a dissenting vote by Member Peter Michael Yu, approved the
rectification of the date of the holding of the Company's extraordinary shareholders meeting
to July 24, 2015, at 10:00 a.m., and also ratified the other resolutions from the Meeting and
the acts already practiced by the Company related to the convening of the aforementioned
extraordinary shareholders meeting.
CLOSURE:
There being no further business, the Chairman suspended the meeting for the time
necessary to draw up these minutes in the proper book, which were read, approved and
signed by all.
